The Warrant Shares and the Special Warrant Shares have been duly authorized by all necessary corporate action on the part of the Company, and such shares of Common Stock have been validly reserved for issuance, and, assuming payment therefor has been made, upon issuance and exercise of the Warrants or the Special Warrants, as the case may be, will be validly issued and outstanding, fully paid and nonassessable.
