Specified Change of Control Event definition

Specified Change of Control Event means the occurrence of any event that would constitute a Change of Control pursuant to the definition thereof; provided that, after giving pro forma effect thereto, the Consolidated Total Net Leverage Ratio would be no greater than 4.00 to 1.00.
Specified Change of Control Event means a Change of Control Event of the type described in clause (a) of the definition thereof.
Specified Change of Control Event means (i) any Retail/Other Property or other Real Property, as applicable, is subject to an insolvency, receivership or other similar proceeding described in Section 9.7 applicable to such Real Property; (ii) in anticipation of a full transfer of legal title to the subject Real Property upon foreclosure, deed in lieu of foreclosure or otherwise under non-recourse Indebtedness (other than with respect to the Subsidiary of MAC that owns such Real Property), all Control (as defined in the definition of Affiliate and including direct, indirect and beneficial control or otherwise) over such Real Property has been transferred in an arms-length transaction to a third party not affiliated with MAC or any of its Subsidiaries; (iii) none of the Management Companies are continuing to manage such Real Property, directly or indirectly; and (iv) following the transfer of control and management rights as provided in clauses (ii) and (iii) above, neither MAC nor any of its Subsidiaries (other than with respect to the Subsidiary of MAC that owns such Real Property) shall have any further operating liability, including any obligation to make additional capital contributions, in any form with respect to such Real Property. Nothing contained in this definition is intended to permit MAC or any of its Subsidiaries to commence any insolvency, receivership, bankruptcy or similar proceedings otherwise restricted under this Agreement, including pursuant to Section 9.7, and all such provisions shall continue to apply with full force and effect.

Examples of Specified Change of Control Event in a sentence

  • Holdings ceases to own, directly or indirectly, 100.0% of the outstanding Capital Stock of the Issuer; provided that in no case shall a Change of Control be deemed to have occurred if such Change of Control is also a Specified Change of Control Event.

  • CommScope ceases to own, directly or indirectly, 100.0% of the outstanding Capital Stock of the Issuer; provided that in no case shall the occurrence of any of the foregoing events be deemed to be a Change of Control if such event is also a Specified Change of Control Event.

  • There shall be no equivalent provision to that included in the Existing Notes which specifies that a Change of Control shall not occur if there has been a "Specified Change of Control Event" (as defined in the Existing Notes indenture).


More Definitions of Specified Change of Control Event

Specified Change of Control Event means the occurrence of any event that would constitute a Change of Control pursuant to the definition thereof; provided that giving pro forma effect thereto, the Consolidated Leverage Ratio would not exceed 4.25 to 1.0. Notwithstanding the foregoing, only one Specified Change of Control Event shall be permitted under this Indenture after the Issue Date.
Specified Change of Control Event means the occurrence of any event that would constitute a Change of Control pursuant to the definition thereof; provided that giving pro forma effect thereto, the Consolidated Leverage Ratio of the Company and its Restricted Subsidiaries would have been less than (x) 5.5 to 1.0, if the date of such occurrence is prior to the eighteen month anniversary of the Issue Date; or (y) 5.0 to 1.0, if the date of such occurrence is on or after the eighteen month anniversary of the Issue Date.
Specified Change of Control Event means the occurrence of any event that would constitute a Change of Control pursuant to the definition thereof; provided that giving pro forma effect thereto, the Consolidated Net Leverage Ratio would not exceed 4.0 to 1.0.
