SpinCo RSU Award definition

SpinCo RSU Award means a restricted stock unit award issued by SpinCo in accordance with Section 6.01.

SpinCo RSU Award means an award of restricted stock units covering SpinCo Common Stock that vests solely based on the continued employment or service of the recipient issued pursuant to the SpinCo Equity Plans as part of an equitable adjustment to a Company RSU Award made in connection with the Distribution.

SpinCo RSU Award means an award of restricted stock units (including any performance restricted stock units) assumed and granted pursuant to the SpinCo Omnibus Plan in accordance with Section 4.02(b) or Section 4.02(c), as applicable.

Examples of SpinCo RSU Award in a sentence

• After the Share Sale Effective Time or the Asset Sale Effective Time, as applicable, each such Converted Spinco RSU Award shall be subject to time- vesting at the end of the originally scheduled performance period (or any later scheduled vesting date).

• Except as otherwise provided in this Section 4.1, each such Converted Spinco RSU Award shall be subject to substantially the same terms and conditions as applied to the corresponding Utah RSU Award as of immediately prior to the Effective Time, including as provided in Section 4.1 of the Utah Disclosure Schedule.

More Definitions of SpinCo RSU Award

SpinCo RSU Award means a time-vesting restricted stock unit award in respect of shares of Spinco Common Stock. “Spinco SAR” means a stock appreciation right in respect of shares of Spinco Common Stock.

SpinCo RSU Award means an award of time-based restricted stock units assumed accordance with Section 4.02(c).
