Examples of Stanford Patents in a sentence
Subject to the terms and conditions set forth in this Agreement, Company hereby grants to Newco: (a) a sublicense under the Stanford Patents in the Newco Field to make, have made, use, import, offer to sell and sell Licensed Products in the Territory and (b) a sublicense under Company’s nonexclusive interest in the Stanford Technology in the Newco Field to research, develop, make, have made, use, import, offer to sell and sell Licensed Product and otherwise exploit Stanford Technology in the Territory.
Company will reimburse Gen-Probe for an allocable portion of the costs of prosecution, issuance and maintenance of the Gen-Probe Patents and the Stanford Patents, such allocation being made with reference to the relative size of the Company Field and the other fields in which the Gen-Probe Patents and Stanford Patents are used.
Stanford Patents include any foreign patent application corresponding thereto, and any divisional, continuation, or reexamination application, extension, and each patent that issues or reissues from any of these patent applications.
Upon the request of Company, on or before August 1 of each year, Newco shall make a written annual report to Company covering the preceding year ending June 30, regarding the activities of Newco in commercializing the Stanford Patents.
Company hereby agrees to indemnify, hold harmless and defend Stanford and its trustees, officers, employees, students and agents against any and all claims for death, illness, personal injury, property damage and improper business practices arising out of the manufacture, use, sale or other disposition of Stanford Patents, inventions claimed in Stanford Patents or Licensed Products (as defined in the Stanford Agreement) by Company, its sublicensees or their customers.
