Unless otherwise specified in the Agreement, the Consultant shall pay all such taxes, duties, fees and other impositions as may be levied under the Applicable Laws and the <<State Designated Agency>> shall perform such duties in regard to the deduction of such taxes as may be lawfully imposed on it.
Such substitution shall be limited to not more than two Personnel subject to equally or better qualified and experienced personnel being provided to the satisfaction of the <<State Designated Agency>>.
The <<State Designated Agency>> warrants that the Consultant shall have, free of charge, unimpeded access to the site of the project in respect of which access is required for the performance of Services; provided that if such access shall not be made available to the Consultant as and when so required, the Parties shall agree on (i) the time extension, as may be appropriate, for the performance of Services, if any, to be made to the Consultant.
RISL is designated State Designated Agency (SDA) for implementation of NeGP Components i.e. State Data Centre (SDC), State Wide Area Network (SWAN), Common Service Centre (CSC), State Service Delivery and other State‟s Mission Mode Projects (MMPs) and Facilitate State Government for implementing e-Procurement Project.
The Consultant shall always act, in respect of any matter relating to this Agreement or to the Services, as a faithful adviser to the <<State Designated Agency>>, and shall at all times support and safeguard the <<State Designated Agency>>’s legitimate interests in any dealings with Third Parties.
Subject to the provisions of Clause 3.4, it shall indemnify the <<State Designated Agency>> against any inaccuracy in its work which might surface during implementation of the Project, if such inaccuracy is the result of any negligence or inadequate due diligence on part of the Consultant or arises out of its failure to conform to good industry practice.
If the Consultant does not commence the Services within the period specified in Clause 2.2 above, the <<State Designated Agency>> may, by not less than 1 (one) weeks’ notice to the Consultant, declare this Agreement to be null and void, and in the event of such a declaration, this Agreement shall stand terminated and the Consultant shall be deemed to have accepted such termination.
The <<State Designated Agency>> expects all the Personnel specified in the Proposal to be available during implementation of the Agreement.
Notwithstanding and without prejudice to any rights whatsoever of <<State Designated Agency>> under the Contract in the matter, the proceeds of the PBG shall be payable to <<State Designated Agency>> as compensation for any loss resulting from the Bidder’s failure to complete its obligations under the Contract.
The Consultant shall ensure that <<State Designated Agency>>, and officials of <<State Designated Agency>> having authorisation from the <<State Designated Agency>>, are provided unrestricted access to the office of the Consultant and to all Personnel during office hours.
