Stock Escrow Account definition

Stock Escrow Account means the escrow account provided for in the Stock Escrow Agreement.
Stock Escrow Account means the account established by the Escrow Agent for purposes of holding a portion of the Stock Consideration (excluding the Indemnity Escrow Shares) pursuant to the terms of the Stock Escrow Agreement.
Stock Escrow Account has the meaning set forth in Section 2(g)(i) above.

  • At the Closing, Parent shall deposit or cause to be delivered to Holdings all of the Common Stock Merger Consideration and all of the Series A Merger Consideration with the exception of the Series A Escrow Shares, which Parent shall cause to be deposited into the Stock Escrow Account in accordance with the terms of the Stock Escrow Agreement.

  • Professional Fee Escrow Account means an interest-bearing account funded by the Debtors with Cash on the Effective Date in an amount equal to the Professional Fee Amount.
