Subcontractor Work Product definition

Subcontractor Work Product means any and all items and information delivered to Cisco or generated by Subcontractor or its subcontractor(s) in the course of providing Services under this Subcontract, whether in hard copy or electronic form, including all Deliverables, works of authorship, programming tools, reports, designs, analyses, source and object code, user or procedural manuals and other supporting material, summaries, literature, test results, recommendations, drawings and workpapers.

  • Subcontractor shall not perform any act with respect to the Services or the Subcontractor Work Product that Cisco is prohibited from performing under the PSA which are provided in writing to Subcontractor, its agent or subcontractor prior to entering into the applicable SOW.

  • Final acceptance of Services or Subcontractor Work Product may, in Cisco's discretion, be held in abeyance pending acceptance of same by the Customer.

  • Such payments shall be Subcontractor's sole compensation, including travel and all other expenses, for its rendering of the Services and preparation and delivery of the Subcontractor Work Product, including the Subcontractor Work Product and Results required to be delivered to Cisco under this Agreement and the applicable SOW.

  • The parties agree unauthorized use of Confidential Information, Subcontractor Work Product, or any information contained therein could irreparably diminish the value to Cisco of its trade secrets or proprietary information such that Cisco will have no adequate remedy in damages.

  • For purposes of this Agreement, acceptance of the Services and Subcontractor Work Product described in each SOW shall occur on the date such Services and Subcontractor Work Product have met the completion criteria specified in the Statement of Work to the reasonable satisfaction of Cisco, as evidenced by issuance of written confirmation of completion and acceptance by Cisco.

  • Subject to Section 6.2, Subcontractor hereby waives any and all moral rights, including without limitation any right to identification of authorship or limitation on subsequent modification that Subcontractor (or its employees, agents, subcontractors or consultants) has or may have in the Services, Subcontractor Work Product or Results, and in any other intellectual property that is or becomes the property of Cisco under this Section.

Related to Subcontractor Work Product

  • Work Products are defined as all materials, tangible or not, created in whatever medium pursuant to this Agreement, including without limitation publications, promotional or educational materials, reports, manuals, specifications, drawings and sketches, computer programs, software and databases, schematics, marks, logos, graphic designs, notes, matters and combinations thereof, and all forms of intellectual property.

  • Work Product means any and all works, including work papers, notes, materials, approaches, designs, specifications, systems, innovations, improvements, inventions, software, programs, source code, documentation, training materials, audio or audiovisual recordings, methodologies, concepts, studies, reports, whether finished or unfinished, and whether or not included in the Deliverables, that are developed, produced, generated, or provided by Contractor in connection with Contractor’s performance of its duties under the Contract or through use of any funding provided under this Contract.

  • Subcontractor means any supplier, distributor, vendor, or firm that furnishes supplies or services to or for a prime contractor or another subcontractor.

  • Contractor Materials means Materials owned or developed prior to the provision of the Work, or developed by Contractor independently from the provision of the Work and without use of the JBE Materials or Confidential Information.

  • Contractor Software means software which is proprietary to the Contractor, including software which is or will be used by the Contractor for the purposes of providing the Services.

  • Sub-subcontractor means a Person engaged by a Subcontractor to perform a portion of the Trade Contractor Work. The term “Sub-Subcontractor” also includes any lower tier Persons engaged by Sub-Subcontractor to perform a portion of the Trade Contractor Work.

  • Contractor Project Manager means the employee identified in a Statement of Work as the Contractor project manager.

  • Contractor attributional/proprietary information means information that identifies the contractor(s), whether directly or indirectly, by the grouping of information that can be traced back to the contractor(s) (e.g., program description, facility locations), personally identifiable information, as well as trade secrets, commercial or financial information, or other commercially sensitive information that is not customarily shared outside of the company.

  • Major Subcontractor means a Subcontractor who enters into a Major Subcontract.

  • Work/ works means work / works to be executed in accordance with the contract.

  • Contractor attributional/proprietary information means information that identifies the contractor(s), whether directly or indirectly, by the grouping of information that can be traced back to the contractor(s) (e.g., program description, facility locations), personally identifiable information, as well as trade secrets, commercial or financial information, or other commercially sensitive information that is not customarily shared outside of the company.

  • Supplier Background IPR means Intellectual Property Rights owned by the Supplier before the Call Off Commencement Date, for example those subsisting in the Supplier's standard development tools, program components or standard code used in computer programming or in physical or electronic media containing the Supplier's Know-How or generic business methodologies; and/or Intellectual Property Rights created by the Supplier independently of this Call Off Contract,

  • Subcontractors means subcontractors or subconsultants at any tier that are under the direct or indirect control or responsibility of the Contractor, and includes all independent contractors, agents, employees, authorized resellers, or anyone else for whom the Contractor may be liable at any tier, including a person or entity that is, or will be, providing or performing an essential aspect of this Contract, including Contractor’s manufacturers, distributors, and suppliers.

  • Supplier/Contractor means the individual, firm or company with whom the contract has been concluded for supplying the Goods and Services under the Contract. The Supplier/Contractor shall be deemed to include its successors (approved by the purchaser), representatives, heirs, executors, administrators and permitted;

  • Contractor means the individual or entity, that has entered into this contract with the Commonwealth.

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.

  • Reporting Subcontractor means with respect to any Person, any Subcontractor for such Person that is “participating in the servicing function” within the meaning of Item 1122 of Regulation AB. References to a Reporting Subcontractor shall refer only to the Subcontractor of such Person and shall not refer to Subcontractors generally.

  • The Work means the work or works to be executed or done under this contract.

  • Third Party Contractor as used in the Student Data Protection Act and “Operator” as used in COPPA. De-Identified Information (DII): De-Identification refers to the process by which the Contractor removes or obscures any Personally Identifiable Information (“PII”) from Education Records in a way that removes or minimizes the risk of disclosure of the identity of the individual and information about them.

  • Contract Work means everything required to be furnished and done by the Contractor by any one or more of the parts of the Contract referred to in Article 1, except Extra Work as hereinafter defined.

  • Supplier/Contractor means the individual, firm or company with whom the contract has been concluded for supplying the Goods and Services under the Contract. The Supplier/Contractor shall be deemed to include its successors (approved by the purchaser), representatives, heirs, executors, administrators and permitted;

  • Contractor / Vendor means the Tenderer whose bid has been accepted and awarded Letter of Acceptance for a specific item followed by the signing of Contract.

  • The Contractor/ Vendor means the individual or firm or company undertaking the works and shall include legal personal representative of individual or composing the firm or company and the permitted assignees of individual or firms of company.

  • Subcontractor employee, as used in this clause, means any officer, partner, employee, or agent of a subcontractor.

  • The Works means the work or works to be executed or done under this contract.
