Subordinated Guaranteed Notes definition

Subordinated Guaranteed Notes means the Subordinated Notes specified in the applicable Pricing Supplement as Subordinated Guaranteed Notes, which are either Dated Subordinated Notes or Undated Subordinated Notes;

  • Payments of interest in respect of Dated Subordinated Notes and Dated Subordinated Guaranteed Notes will be made subject to the provisions of Condition 3(b) and Condition 3(e), respectively.

  • The Undated Subordinated Guaranteed Notes are guaranteed as to payment of principal and interest by DSB upon the terms of the Undated Subordinated Guarantee.

  • The Dated Subordinated Guaranteed Notes issued by a Guaranteed Issuer will constitute direct and unsecured obligations of that Guaranteed Issuer and will rank pari passu without any preference among themselves.

  • Under applicable laws and regulations at the date of this Offering Circular, Dated Subordinated Notes and Dated Subordinated Guaranteed Notes which are intended to constitute Category II Supplementary Capital of DSB must have a minimum maturity of more than five years.

  • The Dated Subordinated Guaranteed Notes are guaranteed as to payment of principal and interest by DSB upon the terms of the Dated Subordinated Guarantee.

  • The rights of the holders of the Dated Subordinated Guaranteed Notes will, in the event of the winding-up of the relevant Guaranteed Issuer, be subordinated in right of payment to the claims of depositors and all other creditors of the relevant Guaranteed Issuer other than claimants in respect of the Subordinated Indebtedness of that Guaranteed Issuer, all as further described in Condition 3(e).

  • Payments of principal, premium (if any) and interest in respect of Undated Subordinated Guaranteed Notes will be made subject to the provisions of Conditions 3(f) and 3(g).

Related to Subordinated Guaranteed Notes

  • Subordinated Notes means the Initial Notes and the Exchange Notes and, more particularly, any Subordinated Note authenticated and delivered under this Indenture, including those Subordinated Notes issued or authenticated upon transfer, replacement or exchange.

  • Subordinated Debt Documents means any agreement, indenture and instrument pursuant to which any Subordinated Debt is issued, in each case as amended to the extent permitted under the Loan Documents.

  • Guarantee of the Notes means the guarantee of the Notes given by the Guarantor in the Deed of Guarantee;

  • Subordinated Note means the Subordinated Note (or collectively, the “Subordinated Notes”) in the form attached as Exhibit A hereto, as amended, restated, supplemented or modified from time to time, and each Subordinated Note delivered in substitution or exchange for such Subordinated Note.
