Subscription Service Fees definition

Subscription Service Fees means all amounts invoiced and payable by you for the Service.
Subscription Service Fees means the fees paid by Customer to Algosec for the use of the Subscription during the Subscription Period. For the avoidance of the doubt, it is hereby clarified that the Subscription Service Fees shall not include any professional services fees and/ or fees paid for the Algosec’s Solution which is not the software as a service solution.

Examples of Subscription Service Fees in a sentence

  • Notwithstanding the foregoing, either Party may assign this Agreement in its entirety without consent of the other Party in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets so long as the assignee agrees to be bound by all of the terms of this Agreement and all past due Subscription Service Fees are paid in full.

  • Termination for any reason shall not relieve you of the obligation to pay any Subscription Service Fees accrued or due and payable prior to the effective date of termination, and termination for any reason other than for uncured material breach by Acumatica shall not relieve you of the obligation to pay all future amounts due.

  • If, as a result of an infringement or misappropriation claim, your use of the Service is enjoined by a court of competent jurisdiction, Acumatica will, at its option, either procure the right to continue its use, replace it with a functional equivalent, modify it to make it non-infringing, or refund the Subscription Service Fees paid and terminate this Agreement.

  • Upon any termination by you pursuant to this section, Acumatica shall refund to you any prepaid Subscription Service Fees for the affected Service that were to be provided after the effective date of termination.

  • Acumatica may terminate this Agreement upon thirty (30) days prior written notice to you if you fail to pay the Subscription Service Fees and do not cure such failure within the 30- d a y notice period.

  • Customer will only be responsible for increased Subscription Service Fees for those Subscription Terms subsequent to the Subscription Term in which Customer received such price increase notice.

  • So long as Company has not lapsed in its payment of Subscription Service Fees due hereunder during the Subscription Term, Beyond Identity shall provide Company (i) support services as further described in then- current M&S Schedule, a copy of which may be reviewed at xxxx://xxxxxxxxxxxxxx.xxx/docs/terms-legal; (ii) all upgrades and updates, at no additional charge ((i) and (ii) may individually or collectively be referred to as “M&S Services”).

  • All payments owed under this Agreement by Customer (including subsequent recurring month Subscription Service Fees) are due within thirty (30) days of date of the invoice from Company.

  • So long as Customer has not lapsed in its payment of the Maintenance Service and/or Subscription Service Fees due hereunder Core shall provide to Customer all upgrades and updates to the Software, at no additional charge.

  • If Customer has lapsed in the payment of Fees due hereunder Customer shall be responsible for paying all Maintenance Service and/or Subscription Service Fees associated with such lapsed Maintenance Services and/or Subscription Services from the date that such Maintenance Services and/or Subscription Services were stopped through to the then-current date, in full, prior to recommencement of such Maintenance Service and/or Subscription Service.

Related to Subscription Service Fees

  • Subscription Services means SAP’s then-current subscription services offered under and described in detail in the applicable SAP PartnerEdge Model.

  • Subscription Service means the ServiceNow software-as-a-service offering ordered by Customer under an Order Form, Use Authorization or other signed ordering document between ServiceNow and Customer.

  • Subscription Fees the Fees payable for access to the Cloud Service as set out in an Order.

  • Service Fees means all fees payable by Party B to Party A pursuant to Article 3 of this Agreement in respect of the Services provided by Party A.

  • Subscription Fee means the Fees payable by IPTV Operator to ZEEL for availing the signals of Zee Group Channels on a monthly basis and calculated as “ZEEL’s Share of MRP” multiplied by average active subscribers for any given month.

  • Service Fee means a fee charged by us to you for the administration of your credit facility.

  • payment initiation service means a service to initiate a payment order at the request of the payment service user with respect to a payment account held at another payment service provider;

If you cancel a billing agreement, you may still owe the recipient money for goods or services that you have received but have not paid for. If we determine currency conversion is necessary for a billing agreement payment, and we perform the conversion, we will use the transaction exchange rate in effect at the time the payment is processed. The transaction exchange rate for each payment transaction may vary. We may allow the recipient of your payment to: • Refuse to accept it. • Decide to accept it and then use our service to send you a refund of all or any part of the amount of the payment later. We will return the amount of any refused payment or refunded payment to your Balance. We will return the amount of an unclaimed payment to your balance within 30 days after the date you initiated the payment. If any amount of any payment is returned to you in any of the ways outlined above, we may convert the returned amount for you into either: • The currency of the balance you used for the original payment (before any conversion into the currency received by the recipient happened). • The opening currency of your account. • US dollars (opening a balance in that currency for you, if you don’t have one already). If the original payment you sent involved a currency conversion we will convert the returned amount from the currency received by the recipient as follows: • If the amount is returned within one day of the date of the original payment we will use our transaction exchange rate applicable on the date of the original payment, so that you receive the original amount in the original currency you converted for the original payment. • If the amount is returned after one day of the date of the original payment we will use and you agree to accept our transaction exchange rate applicable at the time of the conversion of the returned amount. The transaction exchange rate may be applied immediately and without notice to you. We may also automatically withdraw the returned amount from your Balance and transfer the funds back to the funding source you used for the original payment. Withdrawals can also involve a currency conversion – see the section on Withdrawing money above. The returned amount could be lower in value than your original payment amount. This can happen as a result of: • The recipient sending you a refund lower in value than your original payment amount. As we are only a payment service provider, we cannot know what you are entitled to from the original payment recipient as a refund or why the recipient sent the refund in a particular amount. • Transaction exchange rate fluctuations. PayPal is not responsible for any loss resulting from the recipient's decision to refuse or refund your payment, except to the extent that a refund sent by the recipient is a payment executed incorrectly by PayPal We are not liable to you for the difference between the value of your original payment and the value of the resulting refund, except to the extent that the refund is an incorrect payment (see the section on Resolving Problems).

  • Subscription Price has the meaning set forth in Section 2.1.

  • Minimum Purchase Price has the meaning set forth in Section 2.04.

  • Subscription Notice has the meaning set forth in Section 1.1.

  • User Subscriptions means the user subscriptions purchased by the Customer and set out in the Subscription Order Form which entitle Authorised Users to access and use the Services in accordance with this Agreement.

  • Services Fees means the agreed upon fees in an Order for the Services Offerings.

  • Minimum Subsequent Subscription means, in relation to the Euro RDR ‘Retail’ Hedged

  • Hosting Services means the provision, administration, and maintenance of servers and related equipment, the provision of bandwidth at the hosting facility, and the operation of the Application for access by Customer Users to be provided by the relevant hosting service provider.

  • Subscription means the capital stock of the Bank subscribed to by a member.

  • Custom Local Area Signaling Service Features (CLASS) means certain call-management service features that are currently available from SBC-13STATE’s local networks. These could include: Automatic Call Back; Automatic Recall; Call Trace; Caller Identification and related blocking features; Calling Number Delivery; Customer Originated Trace; Distinctive Ringing/Call Waiting; Selective Call Forward; and Selective Call Rejection.

  • IITK Purchase Order means the IITK’s official Purchase Order document;

  • Subscriber Agreement means an agreement that governs the issuance and use of a Certificate that the Applicant must read and accept before receiving a Certificate.
