Subsidiaries and Affiliates definition

Subsidiaries and Affiliates refers to “subsidiaries” and “affiliated companies” as defined in Article 8 of “Ordinance on the Terminology, Forms, and Presentation Methods of Financial Statements, etc.”
Subsidiaries and Affiliates means any company which is a subsidiary or affiliate of Forward and which forms part of the affiliation of which Forward is the principal person for the purpose of registration under the Financial Services (Jersey) Law 1998 as amended from time to time. Affiliate company also includes GS Limited, a member firm of the Institute of Chartered Accountants in England and Wales, and an affiliated company by virtue of common ownership.
Subsidiaries and Affiliates means those corporations which are either wholly-owned or controlled by the Borrower and/or the Lenders (where applicable) or are either under the control or are under common control with the Borrower and/or the Lenders (where applicable);

Subsidiaries and Affiliates. Except as set forth on Schedule "5.10", RUSA has no direct or indirect Subsidiaries or Affiliates other than the other Borrowers. The Subsidiaries listed on Schedule 5.10 own no Property or assets of any nature and shall be dissolved as promptly as practicable.
Subsidiaries and Affiliates means and refer to Solco I, LLC, XSun Energy, LLC, Cobblestone Centre, LC, DCL-16A, Inc., DCL16BLT, Inc., LTB O&M, LLC, N.P. Johnson Family Limited Partnership, Shepard Entergy, Shepard Global, Inc., Solstice Enterprises, Black Night Enterprises, and Starlight Enterprises.
Subsidiaries and Affiliates means any corporation or other employer during any period while it is, together with the Company, a member of a controlled group of corporations or an affiliated service group under common control (within the meaning of Section 414(b), (c) or (m) of the Code).
Subsidiaries and Affiliates means any corporation, firm, partnership or other entity that directly or indirectly controls, is controlled by, or is under common control with the Receiving Party.

  • Affiliates means, with respect to the Contractor, any of its corporate affiliates or associates, including parent entities, subsidiaries, and other entities in which it owns a substantial interest.

  • Related Companies means the companies within the meaning of Article L. 225-197-2 of the French Commercial Code or any provision substituted for same.

  • Affiliated Companies shall include any company controlled by, controlling or under common control with the Company.

  • Affiliate means, with respect to a specified Person, another Person that directly, or indirectly through one or more intermediaries, Controls or is Controlled by or is under common Control with the Person specified.

  • Debt Fund Affiliate means any Affiliate of Holdings (other than Holdings, the Borrower or any Subsidiary of the Borrower) that is primarily engaged in, or advises funds or other investment vehicles that are engaged in, making, purchasing, holding or otherwise investing in commercial loans, bonds and similar extensions of credit or securities in the ordinary course and with respect to which any Sponsor does not, directly or indirectly, possess the power to direct or cause the direction of the investment policies of such Affiliate.

  • Parent Companies means, collectively, (i) Charter, (ii) Charter Holdings, (iii) Charter Communications Holding Company, LLC, a Delaware limited liability company, and (iv) CCH II.

  • Participating Companies means any insurance company (including Insurance Company) that offers variable annuity and/or variable life insurance contracts to the public and that has entered into an agreement with one or more of the Funds.

  • Company Group means the Company and its Subsidiaries.

  • Affiliated has a correlative meaning.

  • Business Relationship Strength for the purpose of this RFP shall mean the definition and commitment of the respondent towards a mutually successful “relationship” between the selected contractor and HCC for the duration of the contract. Respondent’s Statement of Qualification must include their definition, proposal and commitment to forge, foster and maintain a mutually successful “relationship” with HCC. At a minimum, your response must include:

  • Affiliated Group means any affiliated group within the meaning of Code Section 1504(a) or any similar group defined under a similar provision of state, local or foreign law.

  • Affiliated group of corporations means an affiliated group as defined in section 1504 of the Internal Revenue Code, except that, if such a group includes at least one incumbent local exchange carrier that is primarily engaged in the business of providing local exchange telephone service in this state, the affiliated group shall not include any incumbent local exchange carrier that would otherwise be included in the group.

  • Business relationship means a connection between two or more parties based on commercial activity of one of the parties. The term does not include a connection based on: (A) a transaction that is subject to rate or fee regulation by a federal, state, or local governmental entity or an agency of a federal, state, or local governmental entity; (B) a transaction conducted at a price and subject to terms available to the public; or (C) a purchase or lease of goods or services from a person that is chartered by a state or federal agency and that is subject to regular examination by, and reporting to, that agency. Texas Local Government Code 176.001(3).

  • Designated Subsidiaries means the Subsidiaries which have been designated by the Board from time to time in its sole discretion as eligible to participate in the Plan.
