Successful Offering definition

Successful Offering means the NextSeed’s receipt of counterpart signature pages to this Agreement executed and delivered by the Investors providing for the purchase of Notes in an aggregate amount equal to at least the Minimum Offering Amount.

Examples of Successful Offering in a sentence

  • If the Issuer declines to extend the Offering Deadline, or if the Successful Offering has not occurred prior to the extended Offering Deadline, the applicable Principal shall be returned to each Investor and all obligations of the parties under this Agreement shall terminate.

  • If the Company is not able to conduct and complete a Successful Offering, then the Company shall have the right to terminate this Agreement as provided for in paragraph 7 hereof.

  • Unless Cope provides Xxxxxx with written notice within ten (10) days following the deadline (September 14, 1999) for the Successful Offering that he is waiving his rights under the Cope Right of Termination, then the Option shall automatically terminate and be of no further force or effect ("Option Continuation Notice").

  • Subject to the above requirement for a Successful Offering, for each share sold in the Private Offering Xxxxxx shall be entitled to .1875 warrants (each whole warrant representing the right to purchase one share of stock) rounded to the nearest whole number of warrants up to a maximum of 80,000 warrants and underlying shares of the Company's restricted Common Stock (the "Warrants").

  • Notwithstanding anything herein to the contrary, in the event that the Successful Offering has not occurred, then Cope shall be entitled in his sole and absolute discretion and election, but shall not be obligated, to terminate the Option without further obligation under this Agreement in respect of such Option ("Cope Right of Termination").

  • The state agency will evaluate the impact on participants and the preventive procedures the store intends to take in order to decide if the store will be allowed to pay a civil monetary penalty fine rather than being disqualified.

  • Upon a Successful Offering, Issuer will promptly satisfy, out of the Proceeds held in the Escrow Account, (a) the CFMD Commissions and (a) Offering Fees due to CFMD.

  • Once a Successful Offering is concluded and the Securities have been issued, CFMD shall have no obligation or liability with respect to the management, disposal, or any other aspect of the Securities.

  • CFMD will use commercially reasonable efforts to provide Issuer a list of Investors and a full accounting of the Successful Offering within ninety (90) calendar days of the Closing Date or Extended Closing Date.

Successful Offering has the meaning set forth in Section 2.3.
Successful Offering for the purposes of this Agreement, shall have occurred if the Offering takes place and the Offering Proceeds are no less than the aggregate of:
Successful Offering means an Offering (i) in which the Representative raises on behalf of the Company gross proceeds of at least $5,000,000 or (ii) which results in the Company no longer being subject, following Closing, to the “baby shelf” limitations set forth in SEC General Instructions I.B.3 and I.B.6 of Form S-3.

Related to Successful Offering

  • Initial Offering means the Company’s first firm commitment underwritten public offering of its Common Stock registered under the Securities Act.

  • Successful Remarketing means, as applicable, a Successful Optional Remarketing or a Successful Final Remarketing.

  • Final Offer means the offer on which a resource was dispatched by the Office of the Interconnection for a particular clock hour for the Operating Day.

  • Successful Bid means the Bid of the Successful Bidder for acquisition of the Corporate Debtor on Going Concern basis as declared by the Liquidator as per this Process Memorandum;

  • Successful Bidder(s) means the bidder(s) to whom work in this tender is awarded.

  • Successful Bidder As defined in Section 7.01(c).

  • Initial Offering Period means the period commencing with the initial effective date of the Prospectus and terminating no later than the ninetieth (90th) day following such date unless extended for up to an additional 90 days at the sole discretion of the General Partner.

  • Equity Offering means any public or private sale of common stock or Preferred Stock of the Company or any of its direct or indirect parent companies (excluding Disqualified Stock), other than:

  • Piggyback Offering has the meaning set forth in Section 8(a).

  • Underwritten Shelf Takedown shall have the meaning given in subsection 2.3.3.

  • Initial Offer means the initial offer of Participating Shares in a Fund as set out in the applicable Supplement;

  • Initial Offer Price means the initial price payable for a Share as specified in the relevant Supplement for each Fund.

  • Net Proceeds Offer Trigger Date has the meaning provided in Section 4.16.

  • Successful Vendor means the organization or person with whom the order is placed or who is contracted to execute the work as detailed in the bid.

  • Underwritten Offering Notice has the meaning set forth in Section 2(b).

  • Failed Remarketing has the meaning specified in Section 5.4(b)(ii).

  • Remarketing Settlement Date means the date of the settlement of any Successful Remarketing, which will be three Business Days after such Remarketing.

  • Underwritten Public Offering means an underwritten Public Offering, including any bought deal or block sale to a financial institution conducted as an underwritten Public Offering.

  • Net Proceeds Offer has the meaning provided in Section 4.16.

  • Final Offering Memorandum shall be deemed to mean and include all information filed under the Securities Exchange Act of 1934 (as amended, the “Exchange Act,” which term, as used herein, includes the rules and regulations of the Commission promulgated thereunder) prior to the Time of Sale and incorporated by reference in the Pricing Disclosure Package (including the Preliminary Offering Memorandum) or the Final Offering Memorandum (as the case may be), and all references herein to the terms “amend,” “amendment” or “supplement” with respect to the Final Offering Memorandum shall be deemed to mean and include all information filed under the Exchange Act after the Time of Sale and incorporated by reference in the Final Offering Memorandum. The Company hereby confirms its agreements with the Initial Purchasers as follows:

  • Shelf Offering has the meaning set forth in Section 1(d)(i).

  • Underwritten Takedown means an underwritten public offering of Registrable Securities pursuant to the Resale Shelf Registration Statement, as amended or supplemented.

  • Initial Offer Period means the period determined by the Directors during which Shares of any class are offered by the ICAV for purchase or subscription at the Initial Price.

  • Shelf Offering Notice has the meaning set forth in Section 1(d)(i).

  • Successful Proponent means a Proponent who the City may award the agreement to, as a result of this RFP document.

  • Final Offering Circular means the final offering circular relating to the public offering of the Shares as filed with the Commission pursuant to Regulation A of the Rules and Regulations;
