Superior Securities definition

Superior Securities means securities of the City pertaining to the Utility System secured by and payable from Net Revenues superior and senior to the pledge thereof to the Bonds and any Parity Securities, to the extent issued in accordance with the terms, conditions and limitations hereof.
Superior Securities means securities of the City pertaining to the Municipal Utility System and payable from and secured by Net Revenues superior and senior to the pledge thereof of the Bonds, consisting of the Superior Bonds (as set forth in Section 37 hereof).
Superior Securities means, collectively, the Common Stock and any class or series of Superior's preferred stock, and any other securities, warrants or options or rights of any nature (whether or not issued by Superior) that are convertible into, exchangeable for, or exercisable for the purchase of, or otherwise give the holder thereof any rights in respect of common stock, or any class or series of Superior preferred stock that is entitled to vote generally for the election of directors or otherwise.

Examples of Superior Securities in a sentence

  • Subject to compliance with this Section 3.5, on and after the eleventh business day after commencement of a tender or exchange offer made by a Person who is not a member of the First Reserve Group for outstanding Superior Securities (a "Qualifying Offer"), any member of the First Reserve Group may tender or exchange any Superior Securities beneficially owned by it pursuant to such Qualifying Offer, provided the Qualifying Offer shall have been approved, or not opposed, by the Board.

  • Superior agrees to remove promptly all legends and stop transfer orders with respect to the transfer of Superior Securities being made to a Person who is not then a member of the First Reserve Group in compliance with the provisions of this Agreement.

Superior Securities means bonds or securities of the County pertaining to the Water System which have a lien on the Net Revenues that is superior and senior to the lien thereon of the Bonds and any Parity Securities, to the extent issued in accordance with the terms, conditions and limitations hereof.
Superior Securities means securities of the Authority pertaining to the Water System and payable from and secured solely by Net Revenues superior and senior to the pledge thereof to the Bond, including but not limited to the 2005A Bonds, 2006 Bonds, 2007 Bonds, 2010 Bonds and any other securities issued with a lien on the Net Revenues superior to the lien of the Bond.
Superior Securities means the Outstanding 2005C Bonds, 2019A-1 Bonds, 2019A-2 Bonds and any other bonds or securities which have a lien on all or a portion of the Consolidated Tax Pledged Revenues and/or all or a portion of the Room Tax Pledged Revenues that is (i) superior to the lien on the Consolidated Tax Pledged Revenues and the Room Tax Pledged Revenues of the Outstanding 2013ABonds and the Bonds herein authorized, and (ii) superior to the lien on the Consolidated Tax Pledged Revenues of the Outstanding 2022 Bonds.
Superior Securities means special obligation bonds or securities which have a lien on all or a portion of the Net Revenues that is superior to the lien thereon of the Bonds herein authorized, the 2014 Bonds, the 2015A Bond, the 2015B Bond, the 2016 Bonds, the 2017 Sewer Bonds and the 2017 Refunding Bonds.
Superior Securities means the 2005B Bonds, the 2006 Bonds, and the 2017A Bonds, and any other securities of the City pertaining to the Municipal Utility System and secured by Gross Revenues superior to and on a senior basis to the pledge thereof on the Bonds and other Parity Securities.
Superior Securities means in either case bonds or securities payable from the Pledged Revenues and senior to the lien thereon of the 2018 Bonds which are prohibited by this Ordinance as long as the 2018 Bonds are Outstanding.

  • Senior Securities means senior securities (as such term is defined and determined pursuant to the Investment Company Act and any orders of the SEC issued to the Borrower thereunder).

  • Successor Securities has the meaning specified in Section 9.5(a).

  • Investor Securities means the securities eligible for registration pursuant to the Registration Rights Agreement.

  • Junior Securities means the Common Stock and all other Common Stock Equivalents of the Corporation other than those securities which are explicitly senior or pari passu to the Preferred Stock in dividend rights or liquidation preference.

  • Permitted Junior Securities means Equity Interests in the Company or debt securities of the Company or the relevant Guarantor that are subordinated to all Senior Debt (and any debt securities issued in exchange for Senior Debt) or Guarantor Senior Debt (and any debt securities issued in exchange for Guarantor Senior Debt), as applicable, to substantially the same extent as, or to a greater extent than, the Notes are subordinated to Senior Debt or the Subsidiary Guarantees are subordinated to Guarantor Senior Debt, as applicable, pursuant to this Indenture.

  • Junior Security of a Person means, when used with respect to the Securities of any series, any Qualified Capital Stock of such Person or any Indebtedness of such Person that is subordinated in right of payment to the Securities of such series and has no scheduled installment of principal due, by redemption, sinking fund payment or otherwise, on or prior to the Stated Maturity of the Securities of such series.

  • Exchangeable Securities means any securities of any trust, limited partnership or corporation other than the Trust that are convertible or exchangeable directly for Units without the payment of additional consideration therefore;

  • Non Book-Entry Preferred Securities shall have the meaning set forth in Section 2.4.

  • Lock-Up Securities shall have the meaning set forth in Section 4.1.

  • Equity Preferred Securities means, with respect to any Person, any trust preferred securities or deferrable interest subordinated debt securities issued by such Person or other financing vehicle of such Person that (i) have an original maturity of at least twenty years, and (ii) require no repayments or prepayments and no mandatory redemptions or repurchases, in each case, prior to the first anniversary of the latest Maturity Date.

  • Senior Security Documents means with respect to any Senior Secured Party, the Security Documents that secure the Senior Obligations.

  • Exempt Securities has the meaning set forth in Section 4.4(d).

  • Transfer Restricted Securities means securities that bear or are required to bear the legend set forth in Section 2.06 hereof.

  • Predecessor Securities of any particular Security means every previous Security evidencing all or a portion of the same debt as that evidenced by such particular Security; and, for the purposes of this definition, any Security authenticated and delivered under Section 3.06 in lieu of a lost, destroyed or stolen Security shall be deemed to evidence the same debt as the lost, destroyed or stolen Security.

  • Parity Securities has the meaning specified therefor in Section 2.02(b) of this Agreement.
