Unless a LOA is executed by a Supplier Entity in a particular geographical area outside the United States, this Agreement does not cover that Supplier Entity; provided, however, that absence of a LOA does not preclude export in compliance with the applicable United States export control laws and the laws of Buyer's or Supplier's geographic location.
Each Agreement, as supplemented or amended as contemplated herein or therein, sets forth the entire understanding of the applicable Supplier Entity and Experian Entity with respect to the subject matter thereof and supersedes all prior letters of intent, agreements, covenants, arrangements, communications, representations, or warranties, whether oral or written, by any Personnel of either Party relating thereto.
Supplier shall not perform any Services under this Agreement, nor allow such performance by any Supplier affiliate or Subcontractor (hereinafter Supplier, its affiliates and Subcontractors are collectively referred to as “Supplier Entity” or “Supplier Entities”), at a location outside the United States (“Offshore Location”) for the purpose of providing Services under this Agreement in the United States unless AT&T consents to such Services to be performed by a Supplier Entity at such Offshore Location.
Experian Services reserves the right to bring any claims on behalf of itself and any other Experian Entities against Supplier Contracting Entity or any other Supplier Entity, it being acknowledged that any claims against a Supplier Entity may be brought solely against Supplier Contracting Entity.
All references to “Experian” in the Agreement refer to the Experian Entity that is a party to the Agreement, and all references to “Supplier” refer to the Supplier Entity that is a party to the Agreement.
