Surplus Cashflow definition

Surplus Cashflow means Consolidated Cashflow during any financial year:
Surplus Cashflow means, for any period for which Cashflow is calculated, Cashflow for that period less the obligations of the Group in respect of Financial Indebtedness which are actually paid during that period. "Swap Document" means any interest rate hedging agreement (substantially in the form agreed by the Company and the Agent prior to the date of this Agreement) entered into by the Company with any of the Banks party to this Agreement as at the date of this Agreement and any confirmation entered into pursuant to any such agreement. "Syndication" means the primary syndication (including the initial syndication to sub-underwriters and the subsequent general syndication) by the Arrangers of the Facilities. "Syndication Agreement" means an agreement substantially in the form of Part III of Schedule 5. "Syndication Letter" means a letter dated the date of this Agreement from the Arrangers to the Company in respect of the Syndication and other matters. "Target" means London Electricity plc (Registered no. 2366852). "Total Commitments" means the aggregate of the Total Facility A Commitments, the Total Facility B Commitments and the Total Facility C Commitments, being 1,250,000,000 pounds at the date of this Agreement. "Total Facility A Commitments" means the aggregate for the time being of the Facility A Commitments, being the amount agreed in the Syndication Letter. "Total Facility B Commitments" means the aggregate for the time being of the Facility B Commitments, being the amount agreed in the Syndication Letter. "Total Facility C Commitments" means the aggregate for the time being of the Facility C Commitments, being the amount agreed in the Syndication Letter. "Unconditional Acceptances Date" means the date on which the Offer is declared or becomes unconditional as to acceptances. "Utilisation" means a Loan or the Guarantee. "Utilisation Date" means a Drawdown Date or the Issue Date.
Surplus Cashflow means, in relation to the period of 24 months to 31 December 2005 or any subsequent financial year of the Company, Cashflow for that period of 24 months or financial year (as applicable) minus:

  • Excess Cashflow With respect to any Distribution Date, an amount, if any, equal to the sum of (a) the Remaining Excess Spread for such Distribution Date and (b) the Overcollateralization Release Amount for such Distribution Date.

  • Surplus Cash means, with respect to any period, any revenues of Borrower remaining after paying, or setting aside funds for paying, all the following:

  • Excess Cash Flow Payment Period means, with respect to the repayment required on each Excess Cash Flow Payment Date, the immediately preceding fiscal year of the Borrower.

For the sake of clarity, in case of an unsuccessful Bid by an Anchor Investor, the entire amount paid towards the Bid shall be considered to be the Surplus Amount;

  • Group 1 Available Funds As to any Distribution Date, the sum of (a) the aggregate amount held in the Collection Account at the close of business on the related Servicer Remittance Date and, without duplication, on deposit in the Distribution Account at the close of business of the related Distribution Account Deposit Date, attributable to the Group 1 Mortgage Loans net of (i) the Amount Held for Future Distribution related to the Group 1 Mortgage Loans, (ii) amounts related to the Group 1 Mortgage Loans permitted to be withdrawn from the Collection Account pursuant to clauses (i)-(viii) inclusive and clauses (ix)(a)(ii) and (iii), (ix)(b), (x) and (xi) of Section 3.10(a), (iii) after giving effect to all amounts deposited to the Distribution Account from the Collection Account, amounts related to the Group 1 Mortgage Loans permitted to be withdrawn from the Distribution Account pursuant to clauses (i)-(iv) inclusive of Section 3.10(b), and (iv) any Fair Market Value Excess, (b) the amount of the related Advances related to the Group 1 Mortgage Loans and (c) in connection with Defective Mortgage Loans in Loan Group 1, as applicable, the aggregate of the Purchase Prices and Substitution Adjustment Amounts deposited on the related Distribution Account Deposit Date.

  • Net Loss Amount means the sum of Cumulative Loss Amounts under this Single Family Shared-Loss Agreement and Aggregate Net Charge-Offs under the Commercial Shared-Loss Agreement.

  • Net Loss Proceeds means, with respect to any Event of Loss, the proceeds in the form of (a) cash or Cash Equivalents and (b) insurance proceeds, condemnation awards or damages awarded by any judgment, in each case received by the Company from such Event of Loss net of:

  • Distributable Cash Flow means the cash flow available for distribution to Shareholders as dividends as described under “Dividends”;

  • Cash Flow from Operations means net cash funds provided from operations, exclusive of Cash from Sales or Refinancing, of the Company or investment of any Company funds, without deduction for depreciation, but after deducting cash funds used to pay or establish a reserve for expenses, debt payments, capital improvements, and replacements and for such other items as the Board of Directors reasonably determines to be necessary or appropriate and subject to Loan Conditions.

  • Group II Available Funds As defined in Section 7.3(a)(ii) hereof.

  • Collateral Available Funds means with respect to any Distribution Date, the Collateral Floating Percentage of Reallocated Investor Finance Charge Collections with respect to the preceding Monthly Period.

  • Cumulative Excess Cash Flow means the sum of Excess Cash Flow (but not less than zero in any period) for the fiscal year ending on December 31, 2013 and Excess Cash Flow for each succeeding completed fiscal year.
