Sustainability Percentage definition

Sustainability Percentage means, for any period, (x) the Sustainability Amount for such period, over (y) the Company’s total energy generation and supply (both generated and purchased) without duplication, measured in gigawatt hours, during such period, as reported in the Company’s annual report on Form 10-K (or any successor form) for such period filed with the SEC. For the avoidance of doubt, the Company is under no obligation to update the Sustainability Percentage between the filing of the annual reports on Form 10-K (or any successor form), has no obligation to report the Sustainability Percentage in the Company’s quarterly report on Form 10-Q (or any successor form), and is further under no obligation to advise of changes to the Sustainability Percentage as a result of a business change throughout the year by or for the Company (other than any material inaccuracy of which it becomes aware as described in the definition ofApplicable Sustainability Adjustment” or Section 6.7(c)).
