Sustainability Structuring Agents definition

Sustainability Structuring Agents a collective reference to the Lead Sustainability Structuring Agent and the Co-Sustainability Structuring Agent.

Sustainability Structuring Agents means Xxxxx Fargo Securities, LLC and one or more of the Joint Lead Arrangers or another financial institution selected by the Borrower.

Sustainability Structuring Agents means, collectively, X.X. Xxxxxx Securities LLC and PNC Capital Markets LLC in their capacities as sustainability-linked structuring agents hereunder.

Examples of Sustainability Structuring Agents in a sentence

• After the Effective Date, the Borrower, in consultation with the Sustainability Structuring Agents, shall be entitled to either (a) establish specified Key Performance Indicators (“KPIs”) with respect to certain Environmental, Social and Governance (“ESG”) targets of the Borrower and its Subsidiaries or (b) establish external ESG ratings (“ESG Ratings”) targets to be mutually agreed between the Borrower and the Sustainability Structuring Agents.

• The Sustainability Structuring Agents, the Borrower and the Requisite Lenders may amend this Agreement (such amendment, the “ESG Amendment”) solely for the purpose of incorporating either the KPIs or ESG Ratings and other related provisions (the “ESG Pricing Provisions”) into this Agreement.

• Such request shall be accompanied by the proposed Sustainability Targets, as prepared by the Borrower in consultation with the Sustainability Structuring Agents.

• The Borrowers shall pay to the Joint Lead Arrangers, the Sustainability Structuring Agents and the Administrative Agent for their own respective accounts fees in the amounts and at the times specified in the Fee Letters.

• To the fullest extent permitted by Law, each of the Borrowers hereby waives and releases, any claims that it may have against the Administrative Agent, the Joint Lead Arrangers, the Sustainability Structuring Agents and the Lenders with respect to any breach or alleged breach of agency or fiduciary duty in connection with any aspect of any transaction contemplated hereby.

Sustainability Structuring Agents means Wells Fargo Securities, LLC and Citigroup Global Markets, Inc. or such other entities appointed to such role in accordance with Section 4.17(h).

Sustainability Structuring Agents means one or more of the Lenders and/or one or more Affiliates of a Lender, as selected by the Borrower to act as a sustainability structuring agent in respect of the credit facilities established hereunder; provided that such Person agrees to act in such capacity.

Sustainability Structuring Agents means Xxxxx Fargo Securities, LLC and Citigroup Global Markets, Inc. or such other entities appointed to such role in accordance with Section 4.17(h).

Sustainability Structuring Agents means, each of X.X. Xxxxxx Securities LLC and BofA Securities, Inc., in its capacity as sustainability structuring agent, and its successors in such capacity.

Sustainability Structuring Agents means BNP Paribas and PNC Capital Markets, LLC, in their capacity as co-sustainability structuring agents.

Sustainability Structuring Agents means BofA Securities, Inc., J.P. Morgan Securities LLC and Wells Fargo Securities, LLC, each in its capacity as a Sustainability Structuring Agent under this Agreement.

Sustainability Structuring Agents means, each of J.P. Morgan Securities LLC and BofA Securities, Inc., in its capacity as sustainability structuring agent, and its successors in such capacity.
