Symphony Classroom Offering definition

Symphony Classroom Offering means the individual components of the Symphony Classroom Solution. For the avoidance of doubt, the Symphony Classroom AI Hub is an example of a Symphony Classroom Offering.

  • Additional warranties regarding other Symphony Classroom Offering, if any, will be in its accompanying Documentation.

  • Any use or attempted use of a Symphony Classroom Offering that has reached End of Support is Unsupported Functionality and is not an Authorized Use and any ongoing use of such Symphony Classroom Offerings shall be subject to Section 8(E)(7).

  • Authorized Use does not include any use of a Symphony Classroom Offering that has reached End of Support.

  • Any use or attempted use of a Symphony Classroom Offering that has reached End of Support is Unsupported Functionality and is not an Authorized Use and any ongoing use of such Symphony Classroom Offerings shall be subject to Section 9(E)(7).

  • Maximum Offering means, with respect to some or all participants in the Non-423(b) Plan Component, a maximum number or value of shares of the Common Stock made available for purchase in a specified period (e.g., a 12-month period) in specified countries, locations or to Employees of specified Designated Subsidiaries. Such maximum shall be determined by the Board (or a committee authorized by the Board) in such a manner as to avoid securities filings, to achieve certain tax results or to meet other Company objectives.

  • Minimum Offering means the number Shares so designated on Exhibit A hereto.

  • Programme Maximum Number of ETP Securities means 1,000,000,000.

  • Qualifying Offering means a private offering of *****’s equity securities (or securities convertible into or exercisable for *****’s equity securities) for cash (or in satisfaction of debt issued for cash) having its final closing on or after the date of this Agreement and which includes investment by one or more venture capital, professional angel, corporate or other similar institutional investors other than Stanford. For the avoidance of doubt, if ***** is a limited liability company, then “equity securities” means limited liability company interests in *****.

  • Service Offerings means the Services (including associated APIs), the AWS Content, the AWS Marks, and any other product or service provided by us under this Agreement. Service Offerings do not include Third-Party Content.

  • Maximum Offering Amount means have the meaning set forth in the recitals hereto.

  • Rights Offering Amount means $300,000,000.

  • Minimum Offering Notice means a written notification, signed by Broker, pursuant to which the Broker shall represent (1) that subscriptions for the Minimum Offering have been received, (2) that, to the best of Broker’s knowledge after due inquiry and review of its records, Cash Investment Instruments in full payment for that number of Shares equal to or greater than the Minimum Offering have been received, deposited with and collected by NCPS, (3) and that such subscriptions have not been withdrawn, rejected or otherwise terminated, and (4) that the Subscribers have no statutory or regulatory rights of rescission without cause or all such rights have expired.

  • Payment Initiation Service Provider or “PISP” means an authorised third party provider which provides a service that allows that third party to pass payment instructions to us on your behalf in relation to your Account.

  • Shelf Offering has the meaning set forth in Section 1(d)(i).

  • Marketed Underwritten Offering means any Underwritten Offering (including a Marketed Underwritten Shelf Take-Down, but, for the avoidance of doubt, not including any Shelf Take-Down that is not a Marketed Underwritten Shelf Take-Down) that involves a customary “road show” (including an “electronic road show”) or other substantial marketing effort by the Company and the underwriters over a period of at least 48 hours.

  • Qualifying Public Offering means a firm commitment underwritten public offering of Stock for cash where the shares of Stock registered under the Securities Act are listed on a national securities exchange.

  • Equity Offering means any public or private sale of common stock or Preferred Stock of the Company or any of its direct or indirect parent companies (excluding Disqualified Stock), other than:

  • Public Equity Offering means an underwritten public offering of Qualified Capital Stock of the Company pursuant to a registration statement filed with the Commission in accordance with the Securities Act.

  • Custom Calling Features means a set of Telecommunications Service features available to residential and single-line business customers including call-waiting, call-forwarding and three-party calling.

  • Rule 415 Offering means an offering on a delayed or continuous basis pursuant to Rule 415 (or any successor rule to similar effect) promulgated under the Securities Act.

  • Private Offering means the private offering of Preferred Stock pursuant to the Memorandum.
