System Upgrade Costs definition

System Upgrade Costs means all costs incurred by Transmitters or any other Person in relation to System Upgrades, including design, engineering, procurement, construction, installation and commissioning costs, as determined in accordance with the Transmitters’ or such other Persons’ respective policies and procedures and by the OEB, if necessary.
System Upgrade Costs means all costs for the design, engineering, procurement, construction, installation and commissioning of System Upgrades. See Section 6.8 of these Rules.

Examples of System Upgrade Costs in a sentence

  • Seller shall (i) pay to Buyer in advance an amount equal to such estimate of System Upgrade Costs and New Interconnection Facilities Costs ("Upgrade Costs Advance") and/or (ii) provide such other security in form, substance and amount as may be acceptable to Buyer in its Discretion to secure the obligation of Seller to pay such costs ("Upgrade Costs Security").

  • Following the completion of the System Upgrades and the payment in full by Seller of all System Upgrade Costs incurred by Buyer for such work, Buyer shall release to Seller any undrawn portion of the Upgrade Costs Advance and Upgrade Costs Security.

  • Buyer is responsible for the permitting, design, engineering, construction, commissioning, operation, and maintenance of the Buyer-AEY System Upgrades and Seller is responsible for all Buyer-AEY System Upgrade Costs.

  • To be clear, the cost for the export cable has no consequence for the Transmission System Upgrade Costs (“TSUC”) as described in the June 21, 2019 Board Order awarding the Ocean Wind Project.77 Therefore, the route selection has no impact on the TSUC, nor on the OREC price or ratepayer cost already approved.

  • The Developer will be responsible for all costs of the System Upgrade Costs.

  • Such security will be reduced by Generator Owner on a dollar-for- dollar basis for payments made to Southern Companies for estimated Affected System Upgrade Costs as stated in Exhibit 3 Table C.

  • The Generator Owner will be responsible for “Affected System Upgrade Costs” which shall be the construction cost including a tax gross-up plus the ongoing expenses (e.g., O&M, A&G, property tax, payroll tax) associated with the Affected System Upgrades for the first ten years following Upgrade Project completion, with the total estimated Affected System Upgrade Costs set forth in Exhibit 3.

Related to System Upgrade Costs

  • Stand Alone System Upgrade Facilities means System Upgrade Facilities that a Developer may construct without affecting day-to-day operations of the New York State Transmission System during their construction. NYISO, the Connecting Transmission Owner and the Developer must agree as to what constitutes Stand Alone System Upgrade Facilities and identify them in Appendix A to this Agreement.

  • Maintenance Costs means parts and materials, sublet and labour costs of a qualified licensed mechanic for the maintenance of the Revenue Service Vehicles, but shall not include costs associated with interior and exterior transit advertising signs and non-mechanical servicing of Revenue Service Vehicles such as fuelling, clearing fareboxes, cleaning and painting wheel rims, vehicle washing and other work performed by a serviceman; and,

  • refurbishment means repairing of used electrical and electronic equipment as listed in Schedule I for extending its working life for its originally intended use and selling the same in the market or returning to owner;

  • Electric System Upgrades means any Network Upgrades, Distribution Upgrades, or Interconnection Facilities that are determined to be necessary by the CAISO or Participating Transmission Owner, as applicable, to physically and electrically interconnect the Project to the Participating Transmission Owner’s electric system for receipt of Energy at the Point of Interconnection (as defined in the CAISO Tariff) if connecting to the CAISO Grid, or the Interconnection Point, if connecting to a part of the Participating TO’s electric system that is not part of the CAISO Grid.

  • Cost Reimbursement means a contract which provides for a fee other than a fee based on a percentage of cost and under which a contractor is reimbursed for costs which are allowable and allocable in accordance with the contract terms.

  • Operating Margin Customer means a Control Area purchasing Operating Margin pursuant to an agreement between such other Control Area and the LLC.

  • Fraud Monitoring System means an off-line administration system that monitors suspected occurrences of ABT- related fraud.

  • System Revenues means all rates, rents, fees, charges,

  • Design flow means the average annual flow or average daily flow specified in an approved facilities plan or approved plans and specifications, the flow specified in a WPDES permit, or the flow required to meet performance standards.

  • Cleanup costs means expenses (including but not limited to legal and professional fees) incurred in testing for, monitoring, cleaning up, removing, containing, treating, neutralizing, detoxifying or assessing the effects of Pollutants.

  • Routine patient care costs means Covered Medical Expenses which are typically provided absent a clinical trial and not otherwise excluded under the Policy. Routine patient care costs do not include:

  • Service Costs has the meaning ascribed thereto in Section 3.01.

  • System Availability for each System is calculated as follows:

  • Routine Patient Costs means all health care services that are otherwise covered under the Group Contract for the treatment of cancer or other Life-threatening Condition that is typically covered for a patient who is not enrolled in an Approved Clinical Trial.

  • Production Costs means those costs and expenditures incurred in carrying out Production Operations as classified and defined in Section 2 of the Accounting Procedure and allowed to be recovered in terms of Section 3 thereof.

  • Start-Up Costs means all fees, costs, and expenses incurred in connection with establishing the State Mitigation Trust and the Indian Tribe Mitigation Trust and setting them up for operation. Start-up costs shall not include the cost of premiums for insurance policies.

  • Baseline means the “Initial Small Business Lending Baseline” set forth on the Initial Supplemental Report (as defined in the Definitive Agreement), subject to adjustment pursuant to Section 3(a).

  • Upgrade means a major version upgrade of any Platform software.

  • Monitoring System means a system established by BNY to fulfill the Responsibilities specified in clauses (d) and (e) of Section 1 of Article III of this Agreement.

  • Composting facility means a site, location, tract of land, installation, or building used for composting of solid waste in accordance with Chapter 3734. of the Revised Code and rules adopted thereunder. The composting facility includes the area of materials placement and any leachate management system structures.

  • Construction Costs means land costs, all costs paid to construct and complete the Improvements, as specified on Exhibit "B" attached hereto and made a part hereof.

  • Soft Costs means the costs of professional work and fees, interim costs, financing fees and expenses, syndication costs, soft costs and Developer’s fees as shown in the Applicant’s properly completed UniApp, Section C - Uses of Funds. Soft Costs do not include operating or replacement reserves.

  • Energy efficiency improvement means equipment, devices, or materials intended to decrease energy consumption, including, but not limited to, all of the following:

  • Maintenance work means the repair of existing facilities when the size, type or extent of such facilities is not thereby changed or increased. While “maintenance” includes painting and decorating and is covered under the law, it does not include work such as routine landscape maintenance or janitorial services.

  • Maintenance Capital Expenditures means cash expenditures (including expenditures for the addition or improvement to the capital assets owned by any Group Member or for the acquisition of existing, or the construction of new, capital assets) if such expenditures are made to maintain, including over the long term, the operating capacity or revenues of the Partnership Group.

  • Maintenance Test means the maintenance test set out in Clause 12.1 (Maintenance Test).
