The number of Shares issuable at the end of the Performance Period shall be equal to the product of (i) the Target Number of PRSUs (set forth in the Notification) and (ii) the average Payout Factor (with any resulting fractional Share rounded to the nearest whole number of Shares).
Notwithstanding Section 5(a), if you cease active employment with the Coach Companies because of your death or Disability prior to the Vesting Date, the Target Number of PRSUs subject to the Award shall become vested effective as of the Date of Termination and such vested PRSUs shall be distributed to you (or your estate, as the case may be) as soon as reasonably practicable on or following such Date of Termination.
