Target Public Disclosure Record definition

Target Public Disclosure Record means all documents and information filed by Target under applicable Securities Laws on the System for Electronic Document Analysis Retrieval (SEDAR), during the three years prior to the date hereof which are publicly available as of the date hereof;
Target Public Disclosure Record means all documents and information required to be filed by Target under applicable Securities Laws on the System for Electronic Document Analysis Retrieval (SEDAR) and EDGAR since March 18, 2010;

  • Target has no information that would lead it to believe that the mineral resources as disclosed in the Target Public Disclosure Record are inaccurate in any material respect or that there are any outstanding unresolved comments of any Securities Authority in respect of the technical disclosure made in the Target Public Disclosure Record.

  • Except in respect of the Sandman Property for which no representation or warranty is made, the most recent estimated, measured, indicated and inferred mineral resources of Target disclosed in the Target Public Disclosure Record have been prepared and disclosed in accordance with prudent mining practices and in accordance with the requirements prescribed by National Instrument 43-101 – Standards of Disclosure for Mineral Projects and the companion policy thereto.

  • There has been no material reduction in the aggregate amount of estimated Mineral Resources of Target and its subsidiaries, taken as a whole, from the amounts disclosed in the Target Public Disclosure Record.

  • There has been no change in a material fact or a material change (as those terms are defined under the Securities Act) in any of the information contained in the Target Public Disclosure Record, except for changes in material facts or material changes that are reflected in a subsequently filed document included in the Target Public Disclosure Record.

  • Since December 31, 2013, except as disclosed in the Target Public Disclosure Record, there has been no material change in respect of Target and the Target Subsidiaries taken as a whole, and the debt, business and material property of Target and the Target Subsidiaries conform in all material respects to the description thereof contained in the Target Public Disclosure Record; and there has been no dividend or distribution of any kind declared, paid or made by Target.

  • Since June 30, 2012, except as disclosed in the Target Public Disclosure Record, there has been no material change in respect of Target and its subsidiaries taken as a whole, and the debt, business and material property of Target and its subsidiaries conform in all material respects to the description thereof contained in the Target Public Disclosure Record; and there has been no dividend or distribution of any kind declared, paid or made by Target on any Target Shares.

  • Disclosure Record means the Company’s prospectuses, annual reports, annual and interim financial statements, annual information forms, business acquisition reports, management discussion and analysis of financial condition and results of operations, information circulars, material change reports, press releases and all other information or documents required to be filed or furnished by the Company under Applicable Securities Laws which have been publicly filed or otherwise publicly disseminated by the Company;

  • Public Disclosure means disclosure in a press release reported by the Dow Jones News Service, Associated Press or comparable national news service or in a document publicly filed by the corporation with the Securities and Exchange Commission pursuant to Section 13, 14 or 15(d) of the Exchange Act.

  • Public Disclosure Documents means, collectively, all of the documents which have been filed by or on behalf of the Borrower with the relevant Securities Regulators pursuant to the requirements of Securities Laws, including all documents publicly available on the Borrower’s SEDAR profile.

  • Parent Reports has the meaning set forth in Section 4.5(a).

  • SEC Filings has the meaning set forth in Section 4.6.

  • Public Filings means the reports, schedules, forms, statements and other documents filed by the Company or Bezeq with the SEC or the ISA, as applicable, and publically available at least two (2) Business Days prior to the date of this Agreement.

  • Disclosure Time means, (i) if this Agreement is signed on a day that is not a Trading Day or after 9:00 a.m. (New York City time) and before midnight (New York City time) on any Trading Day, 9:01 a.m. (New York City time) on the Trading Day immediately following the date hereof, unless otherwise instructed as to an earlier time by the Placement Agent, and (ii) if this Agreement is signed between midnight (New York City time) and 9:00 a.m. (New York City time) on any Trading Day, no later than 9:01 a.m. (New York City time) on the date hereof, unless otherwise instructed as to an earlier time by the Placement Agent.

  • Current Report shall have the meaning assigned to such term in Section 2.3.

  • Company Proxy Statement has the meaning set forth in Section 3.5.

  • 8-K Filing has the meaning set forth in Section 4.5.

  • Proxy Statement has the meaning set forth in Section 6.03(a).

  • Press Release has the meaning set forth in Section 4.5.

  • Information Statement means the information statement to be made available to the holders of Parent Shares in connection with the Distribution, as such information statement may be amended or supplemented from time to time prior to the Distribution.

  • Company SEC Reports shall have the meaning set forth in Section 3.8(a).

  • public announcement means disclosure in a press release reported by a national news service in Canada, or in a document publicly filed by the Corporation under its profile on the System of Electronic Document Analysis and Retrieval at www.sedar.com; and

  • Information Disclosure Requirements means the requirements to disclose information under:

  • Company SEC Documents has the meaning set forth in Section 3.04(a).

  • Required Disclosure Date means (x) if such Buyer authorized the delivery of such Confidential Information, either (I) if the Company and such Buyer have mutually agreed upon a date (as evidenced by an e-mail or other writing) of Disclosure of such Confidential Information, such agreed upon date or (II) otherwise, the seventh (7th) calendar day after the date such Buyer first received any Confidential Information or (y) if such Buyer did not authorize the delivery of such Confidential Information, the first (1st) Business Day after such Buyer’s receipt of such Confidential Information.

  • Disclosure Order has the meaning set forth in Section 10.7.

  • Closing Press Release has the meaning set forth in Section 5.4(b).

  • disclosure period means the period commencing on 16 July 2012 (being the date 12 months prior to the commencement of the Offer Period) and ending on the disclosure date;

  • Disclosure Materials has the meaning set forth in Section 3.1(h).

  • Form 8-K Disclosure Information As defined in Section 11.07.

  • Joint Proxy Statement has the meaning set forth in Section 6.03(a).

  • Shareholder Materials means the Fund’s prospectus, statement of additional information and any other materials relating to the Fund provided to Fund shareholders by the Fund.
