Tax Advisors definition

Tax Advisors means (i) with respect to the Tax Opinion, GB’s third party tax advisor, (ii) with respect to a Supplemental Tax Opinion, Norton Xxxx Xxxxxxxxx US LLP or another nationally recognized law firm or accounting firm designated by the Party to whom such opinion is delivered, and (iii) with respect to any dispute arising in connection with this Agreement, including under Section 2.2(c) or Section 3.3(e)(ii), a nationally recognized accounting firm agreed to by both Parties.
Tax Advisors means the tax advisors engaged by Angiotech, as agreed by Angiotech and the Executive, to determine the amount of the Gross-Up Payment, if any, payable to the Executive under this Part 10.
Tax Advisors means Ernst & Young Tax Services Limited, Ernst & Young Solutions LLP and Ernst & Young LLP.

Related to Tax Advisors

  • Tax Advisor means a United States tax counsel or accountant of recognized national standing.

  • Independent Tax Counsel means a lawyer, a certified public accountant with a nationally recognized accounting firm, or a compensation consultant with a nationally recognized actuarial and benefits consulting firm with expertise in the area of executive compensation tax law, who shall be selected by the Board, and whose fees and disbursements shall be paid by the Company.

  • Tax Counsel shall have the meaning set forth in Section 6.2 hereof.

  • Independent Accounting Firm has the meaning set forth in Section 2.05(c).

  • Independent Advisor means a reputable accounting, appraisal or nationally recognized investment banking, engineering or consulting firm (a) which does not, and whose directors, officers and employees or Affiliates do not, have a direct or indirect material financial interest in the Company and (b) which, in the judgment of the Board of Directors of the Company, is otherwise disinterested, independent and qualified to perform the task for which it is to be engaged.

It can be programmed to alert the Client of a trading opportunity and can also trade his Trading Account automatically managing all aspects of trading operations from sending orders directly to the Trading Platform to automatically adjusting stop loss, Trailing Stops and take profit levels.

  • Tax Matter has the meaning set forth in Section 7.01.

  • Independent Financial Advisor means an accounting, appraisal, investment banking firm or consultant of nationally recognized standing that is, in the good faith judgment of the Borrower, qualified to perform the task for which it has been engaged and that is independent of the Borrower and its Affiliates.
