In the event that the Fund fails to deliver the Reimbursement Notice within 15 Business Days of its receipt of the Tax Treatment Notice, such event shall be a Fund Event, effective as of the day upon which the Tax Treatment Notice was delivered.
Tax Notice has the meaning set forth in Section 2.06(a).
Disagreement Notice has the meaning specified in Section 2.04(c).
Notice of Final Distribution The notice to be provided pursuant to Section 9.02 to the effect that final distribution on any of the Certificates shall be made only upon presentation and surrender thereof.
Adjustment Notice has the meaning set forth in Section 2.3(c)(i).
Allocation Notice shall have the meaning assigned to such term in Section 11.14(i) hereof.
Transaction Notice means a written request of Seller to enter into a Transaction in a form attached as Exhibit C hereto or such other form as shall be mutually agreed upon between Seller and Purchaser, which is delivered to the Purchaser in accordance with Section 3(c) herein.
Initial Notice shall have the meaning set forth in Section 7.1.
Reset Notice has the meaning specified in Section 307(b).
Buy-Sell Notice shall have the meaning set forth in Section 12.1(a).
Final Notice shall have the meaning assigned thereto in Section 5(g)(iii) hereof.
Confirmation Notice means a notice provided by the Issuer to an Investor in accordance with clause 1.3(c) of the Terms;
Class Notice means the COURT APPROVED NOTICE OF CLASS ACTION SETTLEMENT AND HEARING DATE FOR FINAL COURT APPROVAL, to be mailed to Class Members in English in the form, without material variation, attached as Exhibit A and incorporated by reference into this Agreement.
Offering Notice has the meaning set forth in Section 3.1(a).
CFIUS Notice means a joint voluntary notice with respect to the Transactions prepared by the parties hereto and submitted to CFIUS in accordance with the requirements of the CFIUS Statute.
Payment Notice has the meaning assigned to it in Section 8.06(c).
CAFA Notice refers to the notice requirements imposed by 28 U.S.C. § 1715(b).
Subsequent Financing Notice shall have the meaning ascribed to such term in Section 4.12(b).
Ruling Request means any letter filed by Parent with the IRS requesting a ruling regarding certain tax consequences of the Transactions (including all attachments, exhibits, and other materials submitted with such ruling request letter) and any amendment or supplement to such ruling request letter.
Pre-Notice shall have the meaning ascribed to such term in Section 4.13.
Replacement Notice is defined in Section 4.11.
Offer Notice shall have the meaning set forth in Section 4.1.
Exchange Notice has the meaning set forth in Section 2.1(a)(iii).
Election Notice has the meaning set forth in Section 11.01(b).
Change Notice is defined in Section 3.5(a) of this Agreement.
