Term CXXXX Notice means the notification by the Administrative Agent to the Lenders and the Borrower of the occurrence of a Term CXXXX Transition Event.

Term CXXXX Notice means the notification by the Lender to the Borrower of the occurrence of a Term CXXXX Transition Event.

Term CXXXX Notice means the notification by the Administrative Agent to the Lenders and the Borrower of the occurrence of a Term CXXXX Transition Event. “Term CXXXX Transition Date” means, in the case of a Term CXXXX Transition Event, the date that is set forth in the Term CXXXX Notice provided to the Lenders and the Borrower, for the replacement of the then-current Canadian Benchmark with the Canadian Benchmark Replacement described in clause (a)(i) of such definition, which date shall be at least thirty (30) Business Days from the date of the Term CXXXX Notice. “Term CXXXX Transition Event” means the determination by the Administrative Agent that (a) Term CXXXX has been recommended for use by the Relevant Governmental Body, and is determinable for any Available Tenor, (b) the administration of Term CXXXX is administratively feasible for the Administrative Agent, (c) a Canadian Benchmark Replacement, other than Term CXXXX, has replaced CDOR in accordance with Section 3.03(c) and (d) Borrower has provided a written request to Administrative Agent to transition to Txxx XXXXX. “Term SOFR” means: (a) for any Interest Period with respect to a Term SOFR Loan, the rate per annum equal to the Term SOFR Screen Rate two U.S. Government Securities Business Days prior to the commencement of such Interest Period with a term equivalent to such Interest Period; provided

More Definitions of Term CXXXX Notice

Term CXXXX Notice means the notification by the Administrative Agent to the Canadian Lenders and the Canadian Borrower of the occurrence of a Term CXXXX Transition Event.

Related to Term CXXXX Notice

Xxxxx Notice means the Notice of Grant of Stock Option accompanying the Agreement, pursuant to which Optionee has been informed of the basic terms of the option evidenced hereby.
Activation Notice have the meanings ascribed thereto in Annex C.
CAFA Notice refers to the notice requirements imposed by 28 U.S.C. § 1715(b).
Reduction Notice has the meaning set forth in Section 1.3.
Increase Notice has the meaning specified in Section 2.05(c)(ii).
Term SOFR Notice means a notification by the Administrative Agent to the Lenders and the Borrower of the occurrence of a Term SOFR Transition Event.
OJEU Notice means the contract notice published in the Official Journal of the European Union.
PAGA Notice means Plaintiff’s October 27, 2022, letter to Ansible and the LWDA providing notice pursuant to Labor Code section 2699.3, subd.(a).
Non-Extension Notice Date has the meaning specified in Section 2.03(b)(iii).
Extension Notice has the meaning specified in Section 308.
Election Notice has the meaning set forth in Section 11.01(b).
Commitment Increase Notice as defined in Section 2.1(b).
Discounted Prepayment Option Notice has the meaning specified in Section 2.05(d)(ii).
Non-Extension Notice has the meaning specified in Section 2.10.
Selection Notice means a notice substantially in the form set out in Part II of Schedule 3 (Requests) given in accordance with Clause 9 (Interest Periods).
Margin Notice Deadline the time agreed to by the parties in the relevant Confirmation, Annex I hereto or otherwise as the deadline for giving notice requiring same-day satisfaction of margin maintenance obligations as provided in Paragraph 4 hereof (or, in the absence of any such agreement, the deadline for such purposes established in accordance with market practice);
Opt-Out Notice has the meaning specified therefor in Section 2.02(a) of this Agreement.
Milestone Notice has the meaning set forth in Section 2.4(a).
Addition Notice With respect to the transfer of Subsequent Mortgage Loans to the Trust Fund pursuant to Section 2.08, a notice of the Depositor's designation of the Subsequent Mortgage Loans to be sold to the Trust Fund and the aggregate principal balance of such Subsequent Mortgage Loans as of the Subsequent Cut-off Date. The Addition Notice shall be given not later than three Business Days prior to the related Subsequent Transfer Date and shall be substantially in the form attached hereto as Exhibit P.
Term Loan Extension Request has the meaning set forth in Section 2.16(a).
Commitment Reduction Notice has the meaning given that term in Section 2.13.
Acceptance and Prepayment Notice means a notice of the Borrower’s acceptance of the Acceptable Discount in substantially the form of Exhibit M.
FOIA Notice means a decision notice, enforcement notice and/or an information notice;
Notice of Loan Prepayment means a notice of prepayment with respect to a Loan, which shall be substantially in the form of Exhibit 2.05 or such other form as may be approved by the Administrative Agent (including any form on an electronic platform or electronic transmission system as shall be approved by the Administrative Agent), appropriately completed and signed by a Responsible Officer.
Notice of Extension has the meaning specified in Section 2.20.
Designation Notice means a notice from any Lender or an Affiliate of a Lender substantially in the form of Exhibit I.
