Term Loan First Priority Collateral means, at any time, each Portfolio Investment and all equity investments in each Financing Subsidiary, in each case that have been Delivered (as defined in the Guarantee and Security Agreement) to the Collateral Agent and is subject to the Lien of the Guarantee and Security Agreement, and then only for so long as such Portfolio Investment or equity continues to be Delivered as contemplated therein and in which the Collateral Agent has a first-priority perfected Lien as security for the Term Loan Related Obligations pursuant to Section 2.2(a) thereof (subject to any Lien permitted by Section 6.02 hereof); provided that, in the case of any Portfolio Investment or the equity in any Financing Subsidiary in which the Collateral Agent has such a first-priority perfected security interest pursuant to a valid Uniform Commercial Code filing (and for which no other method of perfection with a higher priority is possible), such Portfolio Investment or equity may be included in the Borrowing Base so long as all remaining actions to complete “Delivery” are satisfied in full within seven days of such inclusion.
Term Loan First Priority Collateral in accordance with Section 8.3 of the Guarantee and Security Agreement.
