Term Reference Rate definition

Term Reference Rate means, in relation to a Term Rate Loan:
Term Reference Rate means in relation to any USD Term Rate Note, the aggregate of:
Term Reference Rate means, in relation to a Term Rate Loan: (a) the applicable Screen Rate; or (b) as otherwise determined pursuant to Clause 13.1 (Interest calculation if no Screen Rate), and if, in either case, that rate is less than zero, the Term Reference Rate shall be deemed to be zero. “Termination Date” means the date falling on the fifth anniversary of the date of this Agreement. “Third Party Bilateral Facility Limit” means £10,000,000.00 (ten million pounds). “Total Commitments” means the aggregate of the Commitments, being £150,000,000 (150 million pounds) at the date of this Agreement.

Examples of Term Reference Rate in a sentence

  • If no Term SOFR is available for the Interest Period of the Loan or any part of the Loan and it is not possible to calculate the Interpolated Term SOFR, the applicable Term Reference Rate shall be the Historic Term SOFR for the Loan or that part of the Loan.

  • For purposes hereof, (a) “One-Month Term SOFR” shall mean the CME SOFR Term Reference Rate administered by CME Group Benchmark Administration Ltd.

  • If paragraph 13.1.2 above applies but no Reference Bank Rate is available for the relevant currency or Interest Period there shall be no Term Reference Rate for that Term Rate Loan and Clause 13.5 (Cost of funds) shall apply to that Term Rate Loan for that Interest Period.

  • If no Primary Term Rate is available for the Interest Period of the Loan, the applicable Term Reference Rate shall be the Central Bank Rate for the Quotation Day.

  • If paragraph (b) above applies but no Historic Term SOFR is available for the Interest Period of the Loan or any part of the Loan, the applicable Term Reference Rate shall be the Interpolated Historic Term SOFR for a period equal in length to the Interest Period of the Loan or that part of the Loan.

"Transaction Information" means all documents and factual information concerning the Group which, at the Company's request and on its behalf, was prepared in relation to this transaction and distributed to the Arrangers before the Signing Date. "Transfer Agreement" means an agreement substantially in the form set out in Schedule 4 (Form of Transfer Agreement) or any other form agreed between the Agent and the Company. "Transfer Date" means, in relation to a transfer, the later of:
Term Reference Rate means, in relation to a Term Rate Loan, the applicable Term SOFR as of the Specified Time and for a period equal in length to the Interest Period of that Term Rate Loan and, if that rate is less than zero, the Term Reference Rate shall be deemed to be zero.
