Third Party Reseller definition

Third Party Reseller has the meaning set forth in Section 2.5(a).
Third Party Reseller means any person or entity, including corporate affiliates of Defendants, to which Defendants sell or distribute Subject Products which resell such products to any person or entity.
Third Party Reseller means any third party authorized by Defendants to sell products or any third party who Defendants know, or, upon reasonable diligence, should have known, to be selling its products.

  • If Licensee enters into an agreement with any Third Party Reseller, then Licensee shall notify Gilead in writing, and shall certify that its arrangement with such Third Party Reseller is consistent with the terms and conditions of this Agreement.
