this Trust Deed means this Trust Deed, the Schedules (as from time to time amended, modified and/or supplemented in accordance with this Trust Deed) and any other document executed in accordance with this Trust Deed (as from time to time so altered) and expressed to be supplemental to this Trust Deed.

• Nothing in this Trust Deed shall require the Trustee to assume an obligation of the Issuer arising under any provisions of the listing, prospectus, disclosure or transparency rules applicable to an issuer of debt securities listed on the Global Exchange Market of Euronext, Dublin or any other exchange on which the Notes may from time to time be listed.

• The Schedules are part of this Trust Deed and shall have effect accordingly.

• Such remuneration will accrue from day to day from the date of this Trust Deed until all the Notes have become due for redemption, and all monies payable thereon have been paid to the Trustee or the Principal Paying and Transfer Agent.

• References in this Trust Deed to Schedules, Clauses, sub-clauses, paragraphs and sub- paragraphs shall be construed as references to the Schedules, Clauses, sub- clauses, paragraphs and sub-paragraphs of this Trust Deed, respectively.

• If there are more than two Trustees appointed hereunder the majority of such Trustees will (provided such majority includes a trust corporation) be competent to carry out all or any of the Trustee’s functions under this Trust Deed.
