TNW Test Level definition

TNW Test Level. The greater of (A) sum of (i) $1,725,000,000, plus (ii) 70% of the cumulative Net Proceeds of Capital Stock/Conversion of Debt received at any time after February 24, 2010 and (B) the covenant level for “Minimum Consolidated Tangible Net Worth” set forth under any of the Other CapitalSource Facilities, including Section 5.32(c) of the Credit Agreement (or any replacement provision thereunder).
TNW Test Level. The greater of (A) sum of (i) $1,015,000,000, plus (ii) 70% of the cumulative Net Proceeds of Capital Stock/Conversion of Debt received at any time after December 31, 2005 (other than the period commencing on January 1, 2008 and ending on September 30, 2008), plus (iii) 30% of the cumulative Net Proceeds of Capital Stock/Conversion of Debt received at any time during the period commencing on January 1, 2008 and ending on September 30, 2008, and (B) the covenant level for “Minimum Consolidated Tangible Net Worth” set forth under any of the Other CapitalSource Facilities, including Section 5.32(c) of the Credit Agreement (or any replacement provision thereunder).

Related to TNW Test Level

  • Latest Level means the latest level of the Index (excluding any flash estimates) published or announced by Eurostat (or any successor entity which publishes such index) prior to the month in respect of which the Substitute Index Level is being calculated; and

  • Ground Level means the level of the referred point of exposed surface of the ground as indicated in the drawing.

  • Severity Level means the actual impact of a Defect on a user’s operational environment as further described in the table below.

  • RBC level means an insurer's company action level RBC, regulatory action level RBC, authorized control level RBC, or mandatory control level RBC where:

  • Initial Level means, in respect of an Index, the level specified as such in the applicable Issue Terms.

  • Barrier Level means the Barrier Level as specified in § 1 of the Product and Underlying Data.

  • Trigger Level means with respect to an Index, the level specified as such in Annex 1 with respect to such Index

  • Final Level means, in respect of the Index, the Closing Level on the Final Valuation Date, provided that, if the Final Valuation Date is not an Exchange Business Day, then the Final Level will be determined on the immediately preceding

  • Strike Level means the Strike Level as specified in § 1 of the Product and Underlying Data.

  • First Level Support means any support relating to calls from Customer’s customers, end users or affiliates or general resolution of user errors, network errors, provisioning errors or Internet delays or malfunctions.

  • Floor Level means that stage of construction which in the completed building would constitute the walking surface of the particular floor level referred to in the table of payments.

  • Base Level means the level of the Index (excluding any flash estimates) published or announced by Eurostat (or any successor entity which publishes such index) in respect of the month which is 12 calendar months prior to the month for which the Substitute Index Level is being determined;

  • Reference Level means the level of the Index (excluding any flash estimates) published or announced by Eurostat (or any successor entity which publishes such index) in respect of the month that is 12 calendar months prior to the month referred to in “Latest Level” above.
