To Subcontractor(s). 1) A Contractor awarded a Contract under this solicitation is hereby obligated: (a)To pay the subcontractor(s) within seven (7) days of the Contractor’s receipt of payment from the Commonwealth for the proportionate share of the payment received for work performed by the subcontractor(s) under the Contract; or (b) To notify the agency and the subcontractor(s), in writing, of the Contractor’s intention to withhold payment and the reason.
To Subcontractor(s). Biogen may grant a sublicense of the rights granted by Sage to Biogen under Section 8.1.1 (License Grant to Biogen; Sage Retained Rights) in the Profit-Share Territory to a Subcontractor engaged in accordance with Section 3.9 (Development Subcontracts) or Section 5.14 (Commercialization Subcontracts), as applicable, to perform Biogen’s responsibilities or exercise Biogen’s rights, in each case, under any Joint Development Plan, Joint Medical Affairs Plan, Joint Commercialization Plan or Manufacturing Plan or any Supply Agreement.

Protagonist may grant a sublicense of the rights granted by Takeda to Protagonist (A) under Sections 2.2(a) and 2.2(c), to a Subcontractor engaged in accordance with Section 4.8 to perform Protagonist’s responsibilities or exercise Protagonist’s rights, in each case, under the applicable Joint Global Development Plan, and (B) under Sections 2.2(b) and 2.2(d), to a Subcontractor engaged in accordance with Section 7.9 to perform Protagonist’s responsibilities or exercise Protagonist’s rights, in each case, under the applicable Joint Commercialization Plan.
To Subcontractor(s). Sage may grant a sublicense of the rights granted by Biogen to Sage under Section 8.1.2 (License Grants to Sage; Biogen Retained Rights) in the Profit-Share Territory to a Subcontractor engaged in accordance with Section 3.9 (Development Subcontracts) or Section 5.14 (Commercialization Subcontracts), as applicable, to perform Sage’s responsibilities or exercise Sage’s rights, in each case, under any Joint Development Plan, Joint Medical Affairs Plan, Joint Commercialization Plan or Manufacturing Plan or any Supply Agreement.
To Subcontractor(s). Takeda may grant a sublicense of the rights granted by Protagonist to Takeda under Section 2.1(a)(i) or Section 2.1(a)(ii) to a Subcontractor engaged in accordance with Section 4.8, Section 6.5 or Section 7.9, as applicable, to perform Takeda’s responsibilities or exercise Takeda’s rights, in each case, under the applicable Joint Global Development Plan or Joint Commercialization Plan.
