Toll Road Consultant definition

Toll Road Consultant means any toll road consultant firm selected by the Borrower and not objected to by the XXXXX Xxxxxx within fifteen (15) Business Days after receiving notice from the Borrower of the name of the proposed toll road consultant, together with supporting information regarding the qualifications of the proposed traffic consultant, which consultant is a Person who (a) is retained by the Borrower, (b) is not, and none of whose officers, directors or employees is, an officer, director or employee of the Borrower (but may be the original purchaser of any series of Bonds or a financial advisor retained by the Borrower for other purposes) and (c) is experienced and has a national and favorable reputation with respect to the collection of tolls from tolls roads such as the I-25N Express Lanes.
Toll Road Consultant means a Person who (a) is retained by the Transportation Enterprise; (b) is not, and none of whose officers, directors or employees is, an officer, director or employee of the Transportation Enterprise (but may be the Original Purchaser or a financial advisor retained by the Transportation Enterprise for other purposes); and (c) is experienced and has a national and favorable reputation with respect to the collection of tolls from tolls roads such as the Project.
Toll Road Consultant means initially CDM Smith and shall include any replacement traffic consultant firm selected by the Borrower [and not objected to by the TIFIA Lender within ten (10) Business Days after receiving notice from the Borrower of the name of the proposed toll road consultant, together with supporting information regarding the qualifications of the proposed toll road consultant].
