Total Capital Invested definition

Total Capital Invested shall have the meaning given to it in the Articles;
Total Capital Invested means, with respect to each debt investment included in the Private Lending Representative Transactions Record, the outstanding (funded) value of such investment. With respect to debtor-in-possession loans, revolvers, delayed draw term loans and other similar investments, as denoted by “*” in the Company column, Total Capital Invested reflects the outstanding (funded) amount of any initial or subsequently drawn capital by the applicable borrower. For equity investments, Total Capital Invested reflects the purchase cost of such investment rather than the face value of such investment. The Total Capital Invested, Composite Gross IRR and Composite Net IRR include Private Lending Investments based on the date of the cash flows (i.e., settlement date) and follow-on investments that may have not yet settled. Total Capital Invested for an investment does not necessarily reflect the Total Investment Amount of such investment, depending on the timing and amount of cash flows.
Total Capital Invested means in respect of the THCP Investors: (a) the aggregate Issue Price of the Securities held by or invested in at any time by the THCP Investors together with their Institutional Transferees whether such Shares were acquired or issued before, at or after Completion (at Completion, being £238,000,000); and (b) any non-cash consideration contributed after the Completion Date and up to but excluding Exit by the THCP Investors (and any of its Institutional Transferees) to a Group Company in consideration for Shares (without double counting);
