Tracking System Failure definition

Tracking System Failure means a disruption in Delivery caused solely by the Tracking System that (a) is not specific to either Party’s Holding Account, (b) is not subject to Section 3.4, and (c) is not within the control of, or the result of the negligence of, such Party and which could not have been avoided by the exercise of due diligence.

Examples of Tracking System Failure in a sentence

  • If, as of the Delivery Deadline Date, the Parties have not agreed upon an alternate Delivery Date for the Product affected by the Tracking System Failure, then Seller shall be relieved from its obligation to Deliver the Product that would have been Delivered but for the Tracking System Failure, and Buyer shall not be obligated to pay for or later receive such Product.

  • If, as of the Longstop Date, the Tracking System Failure is still applicable and has not been resolved, and Parties have not agreed upon an alternate Delivery Date for the Product affected by the Tracking System Failure, then either Party may provide Notice to the other Party to terminate only the Affected Transactions.

  • Neither Party’s failure to Deliver or receive Product due solely to a Tracking System Failure constitutes an Event of Default hereunder.

Related to Tracking System Failure

  • Service Level Failure means a failure to perform the Software Support Services fully in compliance with the Support Service Level Requirements.

  • Service Failure means a failure by the Contractor to provide the Services in accordance with any individual service level described above (measured on a monthly/quarterly/annual basis)

  • Metering System means all meters and metering devices (including current transformers and potential transformers) owned by the Company and used to measure Dependable Capacity and the delivery by the Company and receipt by BPDB of Net Energy Output;
