Transferred Products definition

Transferred Products shall have the meaning set forth in Section 14.4.2(b)(ii).

Transferred Products means the versions of BUYER products and their Derivative Products as identified in Exhibit A-2 and on a Statement of Work that will be transferred from BUYER’s or BUYER’s contract manufacturer’s existing site of manufacture to SUPPLIER’s Approved Manufacturing and Product Development Location.

Transferred Products means ONIVYDE and MM-436.

Examples of Transferred Products in a sentence

• Recipient will use its commercially reasonable efforts to submit to the relevant regulatory authority all appropriate documentation to request registration of the Transferred Products in the name of Recipient.

• Provider will respond to the applicable regulatory authorities with such documents as are reasonably requested by Recipient to and that affects the registration or withdrawal of the relevant regulatory submissions with respect to the Transferred Products.

• SUPPLIER will be provided notification of potential significant opportunities that would reasonably be considered consistent with the intent and capabilities of SUPPLIER associated with the Transferred Products.

• Neither Buyer nor any Affiliate of the Buyer shall be permitted to use any Transition Service for any purpose other than in connection with the operation of or performance under the Transferred Products and the transition of the Transferred Products from Service Provider’s and its Affiliates’ support systems in accordance with this Agreement.

More Definitions of Transferred Products

Transferred Products means the PDIP, SOIC, PLCC, TSSOP, MSOP and SSOP product ranges;

Transferred Products means Token Ring Products manufactured or supplied by the Seller prior to Completion and listed in Part A of Schedule 8;

Transferred Products means those products that, before the Effective Date, were manufactured at the Facility and are listed on Exhibit 1.1C, as such products may be improved or modified from time to time through changes to the Specifications in accordance with Section 3.1, unless such changes to the Specifications result in the creation of a New Joint Product, as provided in the definition of New Joint Product.

Transferred Products means the entire line of products and services offered by or relating to the Business, including without limitation all versions of such products and services, and products and services under development, and including the products listed on Schedule 1.1(mmm) hereto.

Transferred Products means any products of the Enterprise Content Division of EMC (including the products set forth in Schedule 99.2) that are, as of the Initial Closing Date, sold, licensed or provided (including as a service) by or on behalf of the Sellers and/or their Affiliates, limited in each case to the current version and prior versions thereof; provided, however, that with respect to prior versions, “Transferred Products” shall only include such versions currently subject to a warranty obligation or currently sold, licensed, provided, maintained, supported or serviced (or for which there is an outstanding obligation for Software maintenance, support or service), in each case by or on behalf of the Sellers and/or their Affiliates, as of the Initial Closing Date (provided that, for the purposes of Section 3.8 herein, such prior versions shall be limited to the copies previously distributed, sold, offered as a service or licensed) or (ii) for the purposes of Sections 1.1(g) and 2.3(b)(ix), the definitions of “Business”, “Product Proprietary Information” and “Product Proprietary Software” (but in each case, except for purposes of Section 3.8) and for purpose of the Intellectual Property License Agreements and Trademark License Agreement, are under development as of the Initial Closing Date.

Transferred Products has the meaning set forth in Section 5(b).

Transferred Products means the products or service offerings of Seller, including all previously marketed and currently marketed versions thereof and any similar products or service offerings of Seller that are under development or that have been developed but not yet marketed, in each case that are set forth in Section 1.1(b) of the Disclosure Schedule.
