Examples of Transition Representatives in a sentence

  • The Parties agree that any issues arising under this Agreement in relation to a particular Service will be raised first by and between the Service Functional Leads responsible for the functional area of the relevant Service before being referred to the Transition Representatives.

  • The Transition Representatives and Service Functional Leads, or their respective designees, shall meet regularly in person, telephonically or as they otherwise agree during the Term to discuss any issues arising under this Agreement that have not been resolved by the Service Functional Leads and the need for any modifications or additions hereto.

  • The Transition Representatives and the Service Representatives shall meet on a monthly basis (which meeting may be held telephonically) during the Term.

  • Each Party shall provide written notice of its Transition Representative and Service Functional Leads to the other Party promptly following the execution of this Agreement and promptly following any changes to such Party’s Transition Representative or any Service Functional Lead, in each case in accordance with Section 9.1.   • In all cases subject to applicable Law, the Transition Representatives and any other appropriate personnel shall meet (in person or virtually) in accordance with the governance and procedural terms established therefor to discuss the progress of the development and implementation of the Transition Plan and mutually agree in good faith on any necessary modifications to the Transition Plan to ensure that the Transition Plan is implemented in an orderly manner.

  • Each Party shall provide written notice of its Transition Representative and Service Functional Leads to the other Party promptly following the execution of this Agreement and promptly following any changes to such Party’s Transition Representative or any Service Functional Lead, in each case in accordance with Section 10.1. The Transition Representatives and Service Functional Leads shall perform their duties in accordance with the Operating Manual and this Agreement.

  • The Transition Representatives shall endeavor to monitor and manage their Parties’ matters related to any of the transactions contemplated by this Agreement or any Ancillary Agreements.

  • In order to facilitate such transitions, not later than five (5) Business Days following the Effective Date, Seller and Purchaser shall each designate a representative (each a "Transition Representative") to coordinate the activities contemplated by this Section 8.2 and shall provide the name and relevant contact information of their respective Transition Representatives to the other Party.

  • The Transition Representatives will work in good faith to address any issues involving the Parties’ relationship under this Agreement (including, without limitation, any pricing and other Service related matters).

Related to Transition Representatives

  • Project Representative means the individual(s), including but not limited to the Resident Engineer, to whom the Authority Representative has delegated Project responsibilities. If a Project Representative is appointed, the Project Representative represents the Authority Representative on the Project within the limits of that delegation with respect to any part of the Work.

  • Procurement Representative means the person authorized by ULA’s cognizant procurement organization to administer and/or execute this Contract.

  • Principal’s Representative means the person nominated by the Principal or other person from time to time appointed in writing by the Principal to act as the Principal’s Representative for the purposes of the Contract.

  • Customer Representative means the representative appointed by the Customer from time to time in relation to the Contract;

  • Parent Representatives has the meaning set forth in Section 5.2(a).

  • Supplier Representative means the representative appointed by the Supplier from time to time in relation to this Framework Agreement;

  • Company Representatives shall have the meaning set forth in Section 6.5(a).

  • Designated Representatives means the Subordination Agent Representatives, the Trustee Representatives and the Provider Representatives identified under Section 2.5.

  • Management Representative means an individual designated to hear grievances on behalf of the University.

  • Contractor’s Representative means the individual authorised to act on behalf of the Contractor for the purposes of the Contract.

  • Supplier’s Representative means the representative appointed by the Supplier from time to time with overall responsibility for this Contract and notified to the Customer;

  • Contractor Representative means that Person or Persons designated by Contractor in a written notice to Owner specifying any and all limitations of such Person’s authority, and acceptable to Owner, who shall have complete authority to act on behalf of Contractor on all matters pertaining to this Agreement or the Work including giving instructions and making changes in the Work. The Contractor Representative as of the Contract Date is designated in Section 2.2B.

  • Engineer’s Representative means the official in the civil/ electrical engineering department who is authorized to be in-charge of the work to which these presents relate. It shall include any other official nominated to attend to the supervision of day to day execution of the work to which this CONTRACT relates.

  • Commission Representative means the person assigned, in writing, by the Executive Director to be the Commission’s Representative for the project.

  • Resident Representative means (if any) the individual (or, if permitted in accordance with the Companies Acts, the company) appointed to perform the duties of resident representative set out in the Companies Acts and includes any assistant or deputy Resident Representative appointed by the Board to perform any of the duties of the Resident Representative;

  • Seller Representatives has the meaning set forth in Section 5.8(a).

  • Seller’s Representatives means Seller’s accountants, employees, counsel, environmental consultants, financial advisors, and other representatives.

  • Buyer Representatives shall have the meaning set forth in Section 6.4(a).

  • Buyer’s Representatives has the meaning set forth in Section 6.02.

  • LOCKHEED MARTIN Procurement Representative means a person authorized by LOCKHEED MARTIN's cognizant procurement organization to administer and/or execute this Contract.
