Trust Company Liabilities definition

Trust Company Liabilities means any claims or liabilities resulting from or arising out of the following (i) the willful misconduct or gross negligence of Trust Company; (ii) the liabilities that may result from the breach or inaccuracy of any of the Trust Company’s representations, warranties or agreements made in its individual capacity in Sections 5.6 and 5.14 of the Trust Agreement, or in any Operative Documents or any document delivered in connection therewith; (iii) any failure by Trust Company to perform the obligations expressly undertaken in its individual capacity in the Trust Agreement or in any Operative Document or any document delivered in connection therewith; (iv) Taxes based on or measured by any fees, commissions or compensation received by Trust Company for acting as trustee in connection with any of the transactions contemplated by the Operative Documents; or (v) any failure by Trust Company to use ordinary care in the receipt and disbursement of fund.
Trust Company Liabilities has the meaning set forth in Section 6.11 of the Trust Agreement.

"Trust Estate" means all of the estate, right, title and interest of Obligee, solely in its capacity as Owner Trustee under the Trust Agreement, and as Obligee in and to the Participation Agreement and the Equipment Agreement and all documents related hereto and to the Equipment, and all proceeds thereof, including, without limitation, all Equipment Payment, insurance proceeds and Supplemental Payments, but excluding any Excepted Payments. "UCC" means the Uniform Commercial Code, as in effect in any applicable jurisdiction.

Related to Trust Company Liabilities

  • Trust Company means a financial institution, corporation, or other legal entity, authorized to exercise general trust powers.

  • Seller’s Bank Account shall have the meaning set forth in Section 3.2(b).

  • National City National City Mortgage Co., or any successor thereto.

  • Asset Management Company/UTI AMC/AMC/Investment Manager means the UTI Asset Management Company Limited incorporated under the Companies Act, 1956, (1 of 1956) [replaced by The Companies Act, 2013 (No.18 of 2013)] and approved as such by Securities and Exchange Board of India (SEBI) under sub-regulation (2) of Regulation 21 to act as the Investment Manager to the schemes of UTI Mutual Fund.

  • Environmental, Health and Safety Liabilities means any cost, damages, expense, liability, obligation or other responsibility arising from or under any Environmental Law.

  • Deutsche Bank means Deutsche Bank AG and its affiliated companies, as the context requires.

  • related liabilities means liabilities incurred or assumed for the purpose of financing the acquisition or ownership of financial assets and liabilities that are secured by financial assets;

  • JPMorgan Chase Bank means JPMorgan Chase Bank, N.A. and its successors.

  • Asset Management Company/UTI AMC/AMC/Investment Manager means the UTI Asset Management Company Limited incorporated under the Companies Act, 1956, (1 of 1956) replaced by The Companies Act, 2013 (No. 18 of 2013) and approved as such by Securities and Exchange Board of India (SEBI) under sub-regulation (2) of Regulation 21 to act as the Investment Manager to the schemes of UTI Mutual Fund;

  • JPMorgan Chase means JPMorgan Chase Bank, N.A. and its successors.

  • Liabilities means any and all debts, liabilities and obligations, whether accrued or fixed, absolute or contingent, matured or unmatured or determined or determinable, including those arising under any Law, Action or Governmental Order and those arising under any contract, agreement, arrangement, commitment or undertaking.

  • Environmental Costs and Liabilities means any and all losses, liabilities, obligations, damages, fines, penalties, judgments, actions, claims, costs and expenses (including, without limitation, fees, disbursements and expenses of legal counsel, experts, engineers and consultants and the costs of investigation and feasibility studies and remedial activities) arising from or under any Environmental Law or order or contract with any Governmental Authority or any other Person.

  • Corporate Trust Contract means any indenture, trust, pooling and servicing, paying agency, collateral or disbursing agency, securities (whether bond, note, debenture or other) registrar, transfer agency or document custody Contracts and all other fiduciary, agency and corporate trust Contracts, including call rights, in each case, in respect of the Appointments.

  • Trust Common Securities means the securities representing common undivided beneficial interests in the assets of the Trust.

  • L/C Bank means the Original L/C Bank and any other Lender which has been appointed as an L/C Bank in accordance with Clause 5.11 (Appointment and Change of L/C Bank) and which has not resigned in accordance with paragraph (c) of Clause 5.11 (Appointment and Change of L/C Bank).

  • Citicorp has the meaning specified in the preamble to this Agreement.

  • UK National means a person who is a British citizen (including persons from the Channel Islands and the Isle of Man), a British subject under Part IV of the British Nationality Act 1981 having the right of abode in the UK or a British Dependent Territories citizen acquiring his/her citizenship from connection with Gibraltar.

  • Intra-Group Liabilities means the Liabilities owed by any member of the Group to any of the Intra-Group Lenders.

  • Serviced Corporate Trust Contract means any Corporate Trust Contract in respect of a Serviced Appointment.

  • Veteran-owned Small Business Enterprise (VSBE) means A business that is verified by the Center for Verification and Evaluation (CVE) of the United States Department of Veterans Affairs as a veteran-owned small business. See Code of Maryland Regulations (COMAR) 21.11.13.

  • Citibank means Citibank, N.A.

  • Maritime agency services means activities consisting in representing, within a given geographic area, as an agent the business interests of one or more shipping lines or shipping companies, for the following purposes:

  • Permitted Special Servicer/Affiliate Fees Any commercially reasonable treasury management fees, banking fees, title insurance and/or other insurance commissions and fees, title agency fees, and appraisal review fees received or retained by the Special Servicer or any of its Affiliates in connection with any services performed by such party with respect to any Serviced Loan or REO Property, in each case, in accordance with Article III of this Agreement.

  • Wells Fargo Bank Wells Fargo Bank, N.A., or its successor in interexx.

  • State Street means the relevant State Street entity performing services pursuant to this Agreement.

  • LLC means Limited Liability Company.
