TRUSTEE INDEMNITY COSTS definition

TRUSTEE INDEMNITY COSTS means the fees, costs, charges and expenses incurred by, or payable to the Trustee (in its capacity as trustee of the Series Trust) in accordance with the Master Trust Deed (including clause 16.11 of the Master Trust Deed) and the Series Supplement.

TRUSTEE INDEMNITY COSTS means the fees, costs, charges and expenses incurred by or payable to the Issuer Trustee (in its capacity as trustee of the PUMA Trust) in accordance with the Trust Deed (including clauses 17.1 and 17.2 of the Trust Deed) and the Sub-Fund Notice, including, but not limited to, the Senior Fee Amount.

  • Servicer Indemnified Party As defined in Section 8.05(c) of this Agreement.

  • Servicer Indemnified Amounts has the meaning set forth in Section 13.02(a).

  • Indemnified Losses is defined in Section 5.03 of the Servicing Agreement.

  • Related Indemnified Person of an indemnified person means (a) any controlling person or controlled affiliate of such indemnified person, (b) the respective directors, officers, or employees of such indemnified person or any of its controlling persons or controlled affiliates and (c) the respective agents of such indemnified person or any of its controlling persons or controlled affiliates, in the case of this clause (c), acting at the instructions of such indemnified person, controlling person or such controlled affiliate; provided that each reference to a controlled affiliate or controlling person in this sentence pertains to a controlled affiliate or controlling person involved in the negotiation or syndication of this Agreement and the Term Loans.

  • Seller Indemnified Party has the meaning set forth in Section 7.2.

  • Indemnified Costs has the meaning specified in Section 8.05(a).

  • Company Indemnified Party has meaning set forth in Section 8(b) hereof.

  • Related Indemnitee Group has the meaning specified in Section 4.02(b) of the Participation Agreement.

  • Tax Indemnified Party shall have the meaning set forth in Section 7.6(d).

  • Purchaser Indemnified Party shall have the meaning set forth in Section 9.1(a).

  • Agent Indemnitees means each Agent and its officers, directors, employees, Affiliates, agents and attorneys.

  • Seller Indemnified Parties has the meaning set forth in Section 8.1.

  • Claim Expenses means reasonable documented attorneys’ fees and all other reasonable documented out-of-pocket costs, expenses and obligations (including experts’ fees, travel expenses, court costs, retainers, transcript fees, duplicating, printing and binding costs, as well as telecommunications, postage and courier charges) paid or incurred in connection with investigating, defending, being a witness in or participating in (including on appeal), or preparing to investigate, defend, be a witness in or participate in, any Claim, including any Action relating to a claim for indemnification or advancement brought by an Indemnified Party as contemplated in Section 7.5.

  • Purchaser Indemnified Person is defined in Section 5.1 of the Sale Agreement.

  • Company Indemnified Parties has the meaning specified in Section 7.8(a).

  • Purchaser Indemnified Parties has the meaning set forth in Section 8.2.

  • Seller Indemnitees has the meaning set forth in Section 8.03.

  • Company Indemnified Person means (a) any Administrator; (b) any Affiliate of any Administrator; (c) any officers, directors, shareholders, members, partners, employees, representatives or agents of any Administrator; or (d) any officer, employee or agent of the Trust or its Affiliates.

  • Seller Indemnified Persons has the meaning set forth in Section 8.3.

  • Purchaser Indemnitees has the meaning set forth in Section 7.02.

  • Manager Indemnified Party has the meaning set forth in Section 8(a) hereof.

  • Indemnified Amounts The meaning specified in Section 10.1(a).

  • Fiduciary Indemnified Person means each of the Institutional Trustee (including in its individual capacity), the Delaware Trustee (including in its individual capacity), any Affiliate of the Institutional Trustee or the Delaware Trustee, and any officers, directors, shareholders, members, partners, employees, representatives, custodians, nominees or agents of the Institutional Trustee or the Delaware Trustee.

  • Lender Indemnitees shall have the meaning set forth in Section 11.13(b).

  • Indenture Indemnitee means (i) WTNA and the Mortgagee, (ii) each separate or additional trustee appointed pursuant to the Trust Indenture, (iii) the Subordination Agent, (iv) each Liquidity Provider, (v) each Pass Through Trustee and each Related Note Holder, (vi) the Paying Agent, (vii) the Escrow Agent and (viii) each of the respective directors, officers, employees, agents and servants of each of the persons described in clauses (i) through (vii) inclusive above.

  • Buyer Indemnified Party has the meaning set forth in Section 8.2.
