TWX Option definition

TWX Option shall have the meaning set forth in Section 12.01.

Examples of TWX Option in a sentence

  • Furthermore, not later than the last business day of the month following each month in which an amount is withheld by a member of the TWX Group pursuant to Section 12.04 in connection with the exercise of a TWX Option by an AOL Employee, a member of the TWX Group shall pay a member of the AOL Group an amount in cash equal to the aggregate TWX Option Tax Withholding Reimbursement Amount (if any) withheld by members of the TWX Group during such month.

  • The exercise price per share of each such Option granted to Armstrong pursuant to this Appendix A shall be equal to the per share exercise price of each corresponding TWX Option, divided by the Conversion Ratio, and rounded up to the nearest whole cent in a manner consistent with Section 424(a) and Section 409A of the Code.

  • The exercise price per share of each Converted AOL Option shall be equal to the per share exercise price of each corresponding TWX Option, divided by the Conversion Ratio, and rounded up to the nearest whole cent.

  • Following conversion, each such TWX Option shall no longer constitute a TWX Option and shall instead be referred to herein as a “Converted AOL Option”.

Related to TWX Option

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Top-Up Option has the meaning set forth in Section 1.04(a).

  • Vested Company Option means each Company Option outstanding as of immediately prior to the Effective Time that is vested as of such time or will vest in connection with the consummation of the transactions contemplated hereby (whether at the Effective Time or otherwise).

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • Unvested Company Option means any Company Option that is not a Vested Company Option.

  • Employee Option means an Option granted pursuant to Section 5.

  • RSU means a contractual right granted pursuant to Section 9 that is denominated in Shares. Each RSU represents a right to receive the value of one Share (or a percentage of such value) in cash, Shares or a combination thereof. Awards of RSUs may include the right to receive dividend equivalents.

  • Director Option means an Option granted pursuant to Section 6.

  • Company Option means an option to purchase shares of Company Common Stock.

  • Reload Option means any Option granted under Section 6(a)(iv) of the Plan.

  • Company RSU Award means any award of restricted stock units or performance stock units outstanding under the Company Stock Plans.

  • Equity Award means stock options, stock appreciation rights, restricted stock, restricted stock units, performance shares or any other form of award that is measured with reference to the Stock.

  • RSU Award or “RSU” means an Award of restricted stock units representing the right to receive an issuance of shares of Common Stock which is granted pursuant to the terms and conditions of Section 5(a).

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Company Stock Option means each option to purchase shares of Company Common Stock outstanding under the Company Stock Plans.

  • Nonqualified Option means any Option that is not an Incentive Stock Option.

  • Stock Option means a contractual right granted to an Eligible Person under Section 6 hereof to purchase shares of Common Stock at such time and price, and subject to such conditions, as are set forth in the Plan and the applicable Award Agreement.

  • SAR means a stock appreciation right granted under the Plan.

  • Optioned Stock means the Common Stock subject to an Option.

  • Share Option means a Nonqualified Share Option or an Incentive Share Option.

  • PSU means Public Sector Undertaking

  • Company SAR means any stock appreciation right linked to the price of Company Common Stock and granted under any Company Stock Plan.

  • Parent Stock Option means any option to purchase Parent Common Stock.
