UCC-11 Search definition

UCC-11 Search means that certain UCC-11 search which is attached as Exhibit E(2) to the Agreement.
UCC-11 Search means a search of the records of the Florida Secretary of State evidencing any UCC filings against the Borrower, which UCC-11 Search shall be current as of the recording of the Mortgage.

  • Buyer agrees to accept the Title Commitment attached hereto as Exhibit L (the “Title Commitment”) and the UCC-11 Search attached hereto as Exhibit M (the “UCC Search”) as evidence of the status of the Partnership’s title to the Property as of the dates set forth therein and for purposes of defining Permitted Encumbrances.

  • Buyer agrees to accept the Title Commitment attached hereto as Exhibit E(1) and the UCC-11 Search attached hereto as Exhibit E(2) as evidence of the status of the ACBR Entities’ title to the Land.

  • Also approved is relief from Town Zoning Article 10, subsection 165-82.C.3 which states in part that all detached accessory buildings shall be located in the rear yard and schedule 1 which requires a 20 feet side setback.

  • Title defects will not be deemed to include any matters shown by the Title Commitment or UCC-11 Search attached to this Agreement.

  • Section 12.1 Title Commitment and UCC-11 Search Section 12.2 Defects.

  • Failure to notify Seller within the specified period of title defects revealed by the updated Title Commitment or UCC-11 Search shall be deemed a waiver of Buyer’s right to disapprove of the status of Seller’s title, and Buyer shall then accept such title as is described in the Title Commitment and UCC-11 Search (except with respect to all exceptions that have been marked-out and all objections that have been noted therein) as updated, without reserving any claim against Seller for title defects.

  • No later than the fifth (5th) day after the date of this Agreement, Seller shall deliver to Buyer the Title Commitment issued to Seller by the Title Insurer under the Horseshoe Purchase Agreement and the UCC-11 Search delivered to Seller under the Horseshoe Purchase Agreement.

  • Buyer agrees to accept title to the Property subject to (i) all matters shown by the Title Commitment and the UCC-11 Search (except for those mortgages and UCC filings in favor of Xxxxx Fargo Bank, National Association, as agent), and (ii) Permitted Encumbrances (clauses (i) and (ii), the “Title Matters”).

  • UCC Searches has the meaning set forth in Section 3.1(v) hereof.

  • Search ’ means to review, manually or by auto- mated means, agency records for the purpose of locating those records which are responsive to a request.

  • Case Report Form means a printed, optical or electronic document or database designed to record all of the information, which is required by the Protocol to be reported to the Sponsor on each Study Participant.

  • Survey Report means a report of the results of a Survey, containing the information set out in clause 12.4 and Schedule 6.

  • UCC Financing Statement A financing statement filed, or to be filed, pursuant to the UCC.

  • CREFC® Operating Statement Analysis Report The monthly report in the “Operating Statement Analysis Report” format substantially in the form of and containing the information called for therein for the Mortgage Loans, or such other form for the presentation of such information as may be approved from time to time by the CREFC® for commercial mortgage securities transactions generally.

  • Research Results means any technical result acquired based on the Collaborative Research, including, but not limited to, any invention, idea, design, copyrightable work and know-how which relates to the purpose of the Collaborative Research.

  • Listing Statement means the listing statement of Purchaser pertaining to the Transaction and in the form prescribed by the CSE;

  • Filing Statement means all UCC financing statements or other similar financing statements and UCC (Form UCC-3) termination statements required pursuant to the Loan Documents.

  • Operating Statement Analysis Report format substantially in the form of and containing the information called for therein for the Mortgage Loans, or such other form for the presentation of such information as may be approved from time to time by the CREFC® for commercial mortgage securities transactions generally.

  • Payoff statement means a written statement furnished by the mortgage servicer which sets forth all of the following:

  • Cooperative Lien Search A search for (a) federal tax liens, mechanics’ liens, lis pendens, judgments of record or otherwise against (i) the Cooperative Corporation and (ii) the seller of the Cooperative Unit, (b) filings of Financing Statements and (c) the deed of the Cooperative Project into the Cooperative Corporation.

  • GLJ Report means the independent engineering reserves evaluation of certain oil, NGL and natural gas interests of the Company prepared by GLJ dated February 11, 2022 and effective December 31, 2021.

  • Project Management Report means each report prepared in accordance with Section 4.02 of this Agreement;

  • CMSA Operating Statement Analysis Report means a report substantially in the form of, and containing the information called for in, the downloadable form of the "Operating Statement Analysis Report" available as of the Closing Date on the CMSA Website or in such other form for the presentation of such information and containing such additional information as may from time to time be approved by the CMSA for commercial mortgage-backed securities transactions generally.

  • Research record means any data, document, computer file, computer diskette, or any other written or non-written account or object that reasonably may be expected to provide evidence or information regarding the proposed, conducted, or reported research that constitutes the subject of an allegation of research misconduct. A research record includes, but is not limited to, grant or contract applications, whether funded or unfunded; grant or contract progress and other reports; laboratory notebooks; notes; correspondence; videos; photographs; X-ray film; slides; biological materials; computer files and printouts; manuscripts and publications; equipment use logs; laboratory procurement records; animal facility records; human and animal subject protocols; consent forms; medical charts; and patient research files.

  • Billing Statement has the meaning assigned to such term in Section 2.18(g).

  • Filing Statements is defined in Section 5.1.13.

  • UCC Financing Statements means collectively the Lender Financing Statements and the Lessor Financing Statements.

  • MI Report means a report containing Management Information submitted to the Authority in accordance with Framework Schedule 8 (Management Information);

  • Operating Statement shall have the meaning set forth in Section 27.1 hereof.

  • Financing Statement means a record or records composed of an initial financing statement and any filed record relating to the initial financing statement.

  • Progress Report Form means UN Women’s standard form for progress reports attached to this Agreement.

  • License Certificate means evidence of a license provided by Licensor to Licensee in electronic or printed form.

  • Acoustic Assessment Report means the report, prepared in accordance with Publication NPC-233 and Appendix A of the Basic Comprehensive User Guide,by HGC Engineering and dated August 22, 2008 submitted in support of the application, that documents all sources of noise emissions and Noise Control Measures present at the Facility and includes all up-dated Acoustic Assessment Reports as required by the Documentation Requirements conditions of this Certificate to demonstrate continued compliance with the Performance Limits following the implementation of any Modification.

  • SOS Reports means the official reports from the Secretaries of State of each Collateral State, Chief Executive Office State and the Borrower State and other applicable federal, state or local government offices identifying all current security interests filed in the Collateral and Liens of record as of the date of such report.
