Underlying Warrants definition

Underlying Warrants and the "Underlying Warrant Shares" are collectively referred to as the "Warrant Securities;" and
Underlying Warrants has the meaning ascribed to such term on page 2 of this Agreement;
Underlying Warrants mean the common stock purchase warrants included in the Units.

  • The Underlying Warrants have been duly and validly created and authorized for issuance and when issued and delivered by the Corporation pursuant to this Agreement, the Subscription Receipt Agreement and the Warrant Indenture, the Underlying Warrants will be validly issued.

More Definitions of Underlying Warrants

Underlying Warrants means the underlying warrants of the Company, issuable upon the exercise or deemed exercise of the Special Warrants, entitling the holder thereof to acquire one Warrant Share at an exercise price of $0.50 per Warrant Share until the date that is 24 months following the Closing Date, including any Underlying Warrants that may be issued pursuant to the Penalty Provision, in accordance with the terms of the Underlying Warrant Indenture;
