Unmodified Derivative definition

Unmodified Derivative means any substance created or identified by Recipient which constitutes an unmodified functional subunit or product expressed by the Original Material. Examples include, but are not limited to, subclones of unmodified cell lines, purified or fractionated subsets of the Original Material, proteins expressed by DNA/RNA supplied by Provider, or monoclonal antibodies secreted by a hybridoma cell line.
Unmodified Derivative means any substance created by the Recipient which constitutes an unmodified functional subunit or product expressed by the Material;
Unmodified Derivative means substances created by the RECIPIENT which constitute an unmodified functional subunit or product expressed by or generated from the original Material, including, but not limited to, subclones of unmodified cell lines, purified or fractionated subsets of the original Material, proteins expressed by DNA/RNA supplied by SUPPLIER, or monoclonal antibodies secreted by a hybridoma cell line.

Examples of Unmodified Derivative in a sentence

  • By way of nonlimiting example, Purchaser may state that the Modification or Unmodified Derivative was tested or made using the ATCC Material identified with catalog number ATCC® (ATCC Catalog Number)TM.

  • IZSLER-BVR is the owner of the property and all the rights on the Material, Progeny and Unmodified Derivative.

  • Sublicensee acknowledges that ATCC retains ownership rights to (a) any ATCC Material, Progeny, or Unmodified Derivative; and (b) any ATCC Material, Progeny, and Unmodified Derivative contained or incorporated in Modifications which are not incorporated in or part of a Licensed Product.

  • IZSLER-BVR is the owner of the property and all the rights on the Material, Progeny and Unmodified Derivative, except in case of Materials deposited into IZSLER-BVR facilities under the Material Open Deposit Agreement, by Depositor who remains the owner of the Material.

More Definitions of Unmodified Derivative

Unmodified Derivative means substances created by Licensee which constitute an important unmodified functional sub-unit or expression product of Biological Material, e.g., subclones of unmodified cell lines, purified or fractionated sub-sets of Biological Material such as novel plasmids or vectors, proteins expressed as DNA or RNA, or antibodies secreted by a hybridoma.
Unmodified Derivative means any substance created by the Customer which constitutes derivatives of the Library, its constituent recombinant antibody clones, inserts or plasmid expression vectors to which non-substantial changes have been made. Examples of such substances include, by way of example (but without limitation):
Unmodified Derivative means substances created by, for, or on behalf of Licensee or its Related Parties, which constitute unmodified functional subunits or products naturally expressed by the ATCC Materials, such as purified fractionated subsets of the ATCC Material.
Unmodified Derivative means any substance created by the Recipient which constitutes an unmodified functional subunit or product expressed by the Material (e.g. subclones, purified or fractionated subsets, proteins expressed by the provided DNA/RNA or monoclonal antibodies secreted by a cell line). ‘Modification‘ means any substance created by Recipient which contains/incorporates the Material. ‘Commercial Purpose’ means the sale, license, lease, export, transfer or other distribution of the Material or Modifications to a person or entity not party to this MTA for financial gain or other commercial purposes and/or the use of the Material or Modifications: (a) to provide a service to a person or entity not party to this MTA for financial gain; (b) to produce or manufacture products for general sale or products for use in the manufacture of products ultimately intended for general sale; or (c) in connection with proficiency testing service(s), including but not limited to, providing the service of determining laboratory performance by means of comparing and evaluating calibrations or tests on the same or similar items or materials in accordance with predetermined conditions or to perform contract research or screening of compound libraries. ‘Recipient’ shall also include such party’s associates, successors and assigns.
Unmodified Derivative means a human-created substance that is not a portion of the Collected Specimen and, instead, constitutes an unaltered copy of a functional subunit or of a product expressed by the Collected Specimen or Material. Some examples include: copies of cells of the collected specimen, purified or fractionated subsets of the Material, proteins expressed by DNA/RNA extracted from the Collected Specimen or Material.‌‌
Unmodified Derivative means a substance which constitutes an unmodified functional subunit or product expressed by the Materials, such as subclones of unmodified cell lines, purified or fractionated subsets of the Materials, proteins expressed by Materials, or monoclonal antibodies secreted by a hybridoma cell line,
Unmodified Derivative means a substance created by Company that constitutes an unmodified functional subunit of the Institute Material.11 following transfer of material to company. Generally, ownership would follow inventorship in most agreements regarding IP. 10 Institute Inventions will also need to be addressed, disclosed to Company, and will be subject to a right of first refusal option. 11 Unmodified Derivatives will be relevant where the materials are biological in nature e.g. cell lines or antibodies COMMENTS
