Unpaid Transaction Expenses Amount means, with respect to the applicable Company Group Members, without duplication, Transaction Expenses payable by or on behalf of such Company Group Members at the Closing or thereafter.
Unpaid Transaction Expenses Amount means the aggregate amount of all fees, costs, expenses and other amounts incurred or otherwise payable by or on behalf of the Corporation in connection with the negotiation, preparation, execution or delivery of this Agreement or any Ancillary Agreements, in each case to the extent not paid at or prior to the Closing Date or included as a Current Liability in the calculation of the Net Working Capital, including (1) all legal, accounting, investment banking and financial advisory fees, costs and expenses; (2) all fees, costs and expenses associated with the Corporation obtaining the release and termination of any Liens (other than Permitted Liens); and (3) all fees, costs and expenses associated with the Corporation obtaining any consents, approvals or waivers from any Governmental Authority or other third party required to consummate the Transaction.
Unpaid Transaction Expenses Amount means (A) the aggregate amount of all the Group Companies’ expenses, fees and charges incurred in connection with the preparation, negotiation, execution and delivery of this Agreement and the consummation of the transactions contemplated by this Agreement, including all attorneys’, accountants’, consultants’, professionals’, investment bankers’ and other advisors’ fees and expenses payable by any Group Company, in each case to the extent unpaid as of the Closing, plus (B) an amount equal to 50.1% of the premium (as well as taxes, fees and insurer’s expenses relating thereto, including for the avoidance of doubt, fees and expenses associated with carrier diligence and brokerage fees) for the R&W Insurance Policy.
