US$ Note Register definition

US$ Note Register means the register established by the US$ Note Registrar in respect of the Class A-1, the Class A-2a Notes, the Class A-2b Notes, the Class A-3a Notes, the Class A-3b Notes, the Class A-4a Notes and the Class A-4b Notes in accordance with Clause 5.2. US$ Note Registrar means BNY or if BNY resigns or its appointment as note registrar in respect of the US$ Notes is terminated, the person from time to time appointed in its place to perform the functions of such note registrar under this Agreement.

Examples of US$ Note Register in a sentence

  • If the appointment of a US$ Note Registrar is terminated, that US$ Note Registrar must, on the date on which that termination takes effect, deliver to the successor US$ Note Registrar the US$ Note Register and all records maintained by it and all documents (including any US$ Notes) held by it pursuant to this Agreement.

  • Class A-2b Noteholder in relation to a Class A-2b Note at any given time means the person then appearing in the US$ Note Register as the holder of the Class A-2b Note.

  • The Issuer Trustee, the US$ Note Trustee, the Manager, the Agent Bank and each Paying Agent may accept the correctness of the US$ Note Register and any information provided to it by the US$ Note Registrar and is not required to enquire into its authenticity.

  • A US$ Note is not a certificate of title and the US$ Note Register is the only conclusive evidence of title to US$ Notes.

  • The Issuer, the US$ Note Trustee, the Manager and each Agent (other than the US$ Note Registrar) may accept the correctness of the US$ Note Register and any information provided to it by the US$ Note Registrar and is not required to enquire into its authenticity.

  • On any payment of principal and/or interest on the Class A-2[a/b] Notes details of that payment shall be endorsed by or on behalf of the Issuer in the US$ Note Register and, in the case of payments of principal, the Invested Amount of the Class A-2[a/b] Notes shall be reduced for all purposes by the amount so paid and endorsed in the US$ Note Register.

  • None of the Issuer Trustee, the US$ Note Trustee, the Manager, the Agent Bank, any Paying Agent or the US$ Note Registrar is liable for any mistake in the US$ Note Register or in any purported copy except to the extent that the mistake is attributable to its own fraud, negligence or wilful default.

  • On any payment of principal and/or interest on the Class A-1 Notes details of that payment shall be endorsed by or on behalf of the Issuer in the US$ Note Register and, in the case of payments of principal, the Invested Amount of the Class A-1 Notes shall be reduced for all purposes by the amount so paid and endorsed in the US$ Note Register.

  • But if a person runs a coaching centre or tailoring shop, the entrepreneurial activity will be enumerated as an establishment.

  • On any payment of principal and/or interest on the Class A-3[a/b] Notes details of that payment shall be endorsed by or on behalf of the Issuer in the US$ Note Register and, in the case of payments of principal, the Invested Amount of the Class A-3[a/b] Notes shall be reduced for all purposes by the amount so paid and endorsed in the US$ Note Register.

  • Note Register shall have the meaning assigned to such term in Section 15.

  • Note Register and Note Registrar As defined in the Indenture.

  • Equipment Note Register has the meaning specified in Section 2.07 of the Indenture.

  • Share Register means the register of Holders maintained on behalf of the Trust by the Auction Agent in its capacity as transfer agent and registrar for the APS.

  • Debenture Register shall have the meaning set forth in Section 2(c).

  • Registered Note means a Note in registered form;

  • Bond Register means the books for the registration, transfer and exchange of Bonds kept at the office of the Bond Registrar.

  • Note Registrar shall have the meaning specified in Section 2.05(a).

  • ADR Register is defined in paragraph (3) of the form of ADR.

  • Rights Register shall have the meaning ascribed thereto in Subsection 2.6(a);

  • Book-Entry Non-Registered Certificate Any Non-Registered Certificate that constitutes a Book-Entry Certificate.

  • Non-Registered Certificate Any Certificate that has not been subject to registration under the Securities Act. As of the Closing Date, the Class X-E, Class X-F, Class X-G, Class D, Class E, Class F, Class G, Class R and Class V Certificates are Non-Registered Certificates.

  • Registered Certificate Any Certificate that has been the subject of registration under the Securities Act. As of the Closing Date, the Class A-1, Class A-2, Class A-3, Class A-4, Class A-5, Class A-SB, Class X-A, Class X-B, Class A-S, Class B, Class C and Class PEX Certificates constitute Registered Certificates.

  • Registered Noteholder means the Person in whose name a Note is registered on the Note Register on the applicable Record Date.
