U.S. Plan definition

U.S. Plan means any Employee Plan that covers Service Providers located primarily within the United States.
U.S. Plan means any Company Benefit Plan that covers Service Providers located primarily within the United States.
U.S. Plan means any US employee benefit plan as defined in Section 3(3) of ERISA, including any US Welfare Plan, any US Pension Plan, and any such plan which is both a US Welfare Plan and a US Pension Plan, and in respect of which any Restricted Party or any ERISA Affiliate is (or, if such plan were terminated, would under Section 4062 or Section 4069 of ERISA be deemed to be) an "employer" as defined in Section 3(5) of ERISA.
