Valuation Statement definition

Valuation Statement is defined in Section 6.1.1(b).
Valuation Statement means, with respect to any Collateral held in the Custody Account, a statement prepared by the Borrower, delivered in electronic format as a spreadsheet which includes the calculation of the Market Value of each asset (other than cash and Cash Equivalent Investments) included in the Eligible Collateral, and based upon the Borrower’s Valuation Procedures. The foregoing definitions apply equally to both the singular and plural forms of the defined terms.
Valuation Statement has the meaning set forth in the Credit Agreement.

Valuation Statement means a statement, prepared in accordance with GAAP to the extent pertaining to the Synovus Retained Assets or the Synovus Retained Liabilities, and using the accounting methods, policies, practices and procedures as were used in the preparation of the Financial Statements (to the extent consistent with GAAP insofar as pertaining to the Synovus Retained Assets or the Synovus Retained Liabilities), which contains Seller’s computation of the Estimated Capital One Purchase Price, Estimated Synovus Purchase Price and the Subsequent Closing Purchase Price (taking into account, for avoidance of doubt, the calculation of the Deposit ▇▇▇▇ Amount provided by Synovus in accordance with Section 3.3(a)), and, based on such computations, the net amount payable by each party to each other party on the Closing Date (giving effect to the Closing and the Subsequent Closing), in each case in accordance with Section 2.3, determined as of the Valuation Date, and prepared in accordance with the Sample Valuation Statement attached hereto as Exhibit A.
Valuation Statement means a statement of the Collateral Value prepared by an appraiser agreed upon by the Lender and the Borrower, and provided to the Lender in accordance with Section 5.01(c)(iv)hereof. The costs and expenses of the appraiser shall be borne solely by the Borrower.
