These Conditions can usually be inspected during the usual office hours at the offices of the Vendor’s Solicitors mentioned in these particulars during the five days (exclusive of Saturday and Sunday), immediately before and exclusive of the day of the Sale.
Such method may include, at the option of the Vendor, delivery of funds by the Purchaser electronically through an electronic funds transfer system (the "EFTS") designated by the Vendor or the Vendor’s Solicitors, including, without limitation, the Closure Service provided by Teranet Inc..
All documentation shall be in form and substance acceptable to the Purchaser’s Solicitors and the Vendor’s Solicitors, each acting reasonably and in good faith.
Any tendered documents or monies hereunder, or any notice, waiver, or communication, or approval or other document permitted or contemplated hereunder, or the variation of any time provisions hereof, may be given or made by the Vendor or the Purchaser or the Vendor’s Solicitors or Purchaser’s Solicitors, respectively, upon, to or with the solicitors acting for the party on, or to whom tender or delivery is desired.
Any notice, approval, waiver, agreement, instrument, document or communication permitted, required or contemplated in this Agreement may be given or delivered and accepted or received by the Purchaser’s Solicitors on behalf of the Purchaser and by the Vendor’s Solicitors on behalf of the Vendor and any tender of Closing Documents and the Balance may be made upon the Vendor’s Solicitors and the Purchaser’s Solicitors, as the case may be.
