Vested Company Stock Option definition

Vested Company Stock Option means each Company Stock Option held by the Purchaser immediately prior to the Effective Time that is vested as of immediately prior to the Effective Time (without regard to the cancellation of such Company Stock Options required by Section 2.09(a) of the Merger Agreement).

Vested Company Stock Option means any Company Stock Option that by its terms (in whole or in part, and as those terms may be amended as permitted by the existing provisions of the Contract defining the Company Stock Option and by this Agreement) provides to the holder of the Company Stock Option a right to exercise the Company Stock Option to purchase Common Stock at any time on or prior to the Effective Time.

Vested Company Stock Option means each Company Stock Option that is vested as of immediately prior to the First Effective Time (after taking into account any vesting acceleration in the applicable Company Equity Plan, in any award agreement or other agreement, plan, policy, or arrangement applicable to such Company Stock Option, or in such Company Stock Options, by reason of this Agreement or the Transactions).

Examples of Vested Company Stock Option in a sentence

• For the avoidance of doubt, if the Closing Amount does not exceed the exercise price payable in respect of each Share issuable under such Vested Company Stock Option, a Vested Company Stock Option shall be terminated and the holder thereof shall not be entitled to the any Option Consideration in respect thereof.

• The following portions of Section 8 of the Initial Agreement shall be amended as follows: (i) the heading of Section 8.2 shall be changed to “Indemnification Obligations of the Stockholders and Vested Company Stock Option Holders” and (ii) “or holder of Vested Company Stock Options” shall be inserted immediately after “stockholder” in Section 8.3.

• With respect to the portion of the Option Cash Payment relating to any Vested Company Stock Option, such Option Cash Payment shall be payable (without interest and less applicable withholding Taxes) in a lump sum promptly following the Closing Date.

• Each Vested Company Stock Option for which the Cash Consideration is less than or equal to the exercise price per share of Company Stock underlying such Vested Company Stock Option shall be converted into an Adjusted Option in the same manner as, and using the same formulas applicable to, Unvested Company Stock Options as set forth in Section 3.10(b) below.

• Notwithstanding anything in this Agreement to the contrary: (i) each Company Stock Option shall be cancelled at the Effective Time, regardless of whether a Closing Option Payment is paid; and (ii) the right of each holder of a Vested Company Stock Option to receive the consideration contemplated by this SECTION 2.4(a) shall be conditioned on such option holder’s execution and delivery to the Company of an Option Cancellation Letter in the form attached hereto as Exhibit B.

More Definitions of Vested Company Stock Option

Vested Company Stock Option shall refer to the vested portion of such Company Stock Option.

Vested Company Stock Option means, as of immediately prior to the Effective Time, all Company Stock Options to the extent they are vested and outstanding or that will vest at the Effective Time as a result of the consummation of the transactions contemplated by this Agreement.

Vested Company Stock Option means a Company Stock Option that is outstanding, vested and unexercised as of immediately prior to the Effective Time.

Vested Company Stock Option means each Company Stock Option that is unexpired, unexercised and outstanding immediately before the Effective Time and which is vested and exercisable as of immediately before the Effective Time. If a Company Stock Option is vested with respect to some, but not all, of the shares underlying such Company Stock Option, then “Vested Company Stock Option” shall refer to the vested portion of such Company Stock Option.

Vested Company Stock Option means each outstanding Service Based Company Stock Option and each outstanding Performance Based Company Stock Option, except for the Company Stock Options identified on Section 1.01 of the Company Disclosure Schedule.

Vested Company Stock Option has the meaning set forth in Section 2.8(a).

Vested Company Stock Option means each Company Option, or portion thereof, as to which, as of the First Step Merger Effective Time, all applicable vesting criteria has been satisfied, is outstanding, and is unexercised.
