For the avoidance of doubt, if the Closing Amount does not exceed the exercise price payable in respect of each Share issuable under such Vested Company Stock Option, a Vested Company Stock Option shall be terminated and the holder thereof shall not be entitled to the any Option Consideration in respect thereof.
