Vested Company Stock Option definition

Vested Company Stock Option means each Company Stock Option held by the Purchaser immediately prior to the Effective Time that is vested as of immediately prior to the Effective Time (without regard to the cancellation of such Company Stock Options required by Section 2.09(a) of the Merger Agreement).
Vested Company Stock Option means any Company Stock Option that by its terms (in whole or in part, and as those terms may be amended as permitted by the existing provisions of the Contract defining the Company Stock Option and by this Agreement) provides to the holder of the Company Stock Option a right to exercise the Company Stock Option to purchase Common Stock at any time on or prior to the Effective Time.
Vested Company Stock Option means each Company Stock Option that is vested as of immediately prior to the First Effective Time (after taking into account any vesting acceleration in the applicable Company Equity Plan, in any award agreement or other agreement, plan, policy, or arrangement applicable to such Company Stock Option, or in such Company Stock Options, by reason of this Agreement or the Transactions).

  • For the avoidance of doubt, if the Closing Amount does not exceed the exercise price payable in respect of each Share issuable under such Vested Company Stock Option, a Vested Company Stock Option shall be terminated and the holder thereof shall not be entitled to the any Option Consideration in respect thereof.

Vested Company Stock Option shall refer to the vested portion of such Company Stock Option.
Vested Company Stock Option means, as of immediately prior to the Effective Time, all Company Stock Options to the extent they are vested and outstanding or that will vest at the Effective Time as a result of the consummation of the transactions contemplated by this Agreement.
Vested Company Stock Option means a Company Stock Option that is outstanding, vested and unexercised as of immediately prior to the Effective Time.
