Vested Points definition

Vested Points means the sum of the following products with respect to all of your Points held as of the date you became a Retired Partner: (i) the number of such Points that have the same Vesting Commencement Date multiplied by (ii) the Vesting Percentage applicable to such Points as of the date you became a Retired Partner.

Vested Points has the meaning ascribed to that term in a Limited Partner’s Award Letter.

Vested Points means, with respect to any Retired Partner, the product of such Retired Partner’s Points as of such Retired Partner’s Retirement Date multiplied by such Retired Partner’s Vesting Percentage at such time.

Examples of Vested Points in a sentence

• Upon the occurrence of a material default, after the expiration of the applicable cure period set forth in section 4.2 of the Co-Investors (A) Partnership Agreement, in the obligation to contribute capital to Co-Investors (A) in accordance with the Co-Investors (A) Partnership Agreement by a Limited Partner, the General Partner may reduce or eliminate the Points of any such Limited Partner (including the Vested Points of any Retired Partner).

• As of the date that you become a Retired Partner, your Points will be reduced automatically to (a) zero if your retirement is the consequence of a Bad Act and (b) otherwise, an amount equal to your Vested Points calculated as of that date.

• Partnership Points held by a Limited Partner shall vest in accordance with the vesting schedule set forth opposite such Limited Partner’s name on Schedule A hereto (as so vested, the “Vested Points”); provided, however, that upon (x) the death or permanent disability of such Limited Partner, or (y) a Change of Control of AMG, all of such Limited Partner’s Partnership Points shall immediately become Vested Points.

• Your Points shall be reduced automatically to (a) zero if your retirement is the consequence of a Bad Act and (b) otherwise, an amount equal to your Vested Points calculated as of the Retirement Date.

• For the avoidance of doubt, any Partnership Points held by the General Partner shall be deemed to be Vested Points while held by the General Partner (including, without, limitation, Partnership Points which are forfeited to the General Partner pursuant to Section 6.2 hereof).

More Definitions of Vested Points

Vested Points means, with respect to any Limited Partner at any time, the sum of: (a) with respect to the first Vesting Period, the product of (i) such Limited Partner’s Points as of the commencement of the first Vesting Period multiplied by (ii) such Limited Partner’s Vesting Percentage with respect to the first Vesting Period, plus (b) with respect to each Vesting Period after the first Vesting Period and without duplication (i) such Limited Partner’s Vested Points, if any, as of the close of the immediately preceding Vesting Period, plus (ii) the product of (A) such Limited Partner’s Unvested Points as of the commencement of such Vesting Period multiplied by (B) such Limited Partner’s Vesting Percentage with respect to such Vesting Period. “Vesting Date” means, with respect to any Limited Partner,

Vested Points shall have the meaning specified in Section 6.1. Reference is made to that certain Limited Partnership Agreement of Long-Term Equity Interests Plan 2011, LP, dated as of December 31, 2011 (the “Partnership Agreement”). Capitalized terms used and not otherwise defined herein shall have the respective meanings set forth in the Partnership Agreement.

Vested Points means the amount of Points calculated as of a Retired Partner’s Retirement Date in the manner set forth in the applicable Award Letter.
