Voting Hearing definition

Voting Hearing means the court hearing scheduled pursuant to Section 255(1)(2o) DBA, which is set at 10.00 09.30 (CET) on 30 June 3 September 2021 or a hearing of the SoP Committee of Representation to be scheduled pursuant to Section 281e DBA to be held at the District Court of Amsterdam, located at Parnassusweg 280 in Amsterdam, The Netherlands or on any other date or time or at any other venue designated by the District Court of Amsterdam.
Voting Hearing means the court hearing scheduled pursuant to Section 255(1)(2o) DBA, which is set at 09.30 (CET) on 3 September 2021 (as adjourned and continued at 13.30 (CET) on 8 September 2021, and as may be further adjourned from time to time) or a hearing of the SoP Committee of Representation to be scheduled pursuant to Section 281e DBA to be held at the District Court of Amsterdam, located at Parnassusweg 280 in Amsterdam, The Netherlands or on any other date or time or at any other venue designated by the District Court of Amsterdam.

  • Unless the District Court of Amsterdam appoints a committee of representatives in accordance with Section 281e DBA,3 this SIHNV Composition Plan will be put to a vote by the SoP Creditors in a Voting Hearing.

  • All SoP Creditors are eligible to file their Claims with the SoP Claims Administrator for admission in the SoP and to cast their vote in respect of this SIHNV Composition Plan at the Voting Hearing (see section 3 above), and certain SoP Creditors (the Distribution Creditors, as defined below) are eligible to file their Claims on or before the Bar Date to receive settlement compensation (see section 6 below).40.43.

  • The foregoing does not prevent a beneficial owner from authorising the respective legal owner (or another party) to, on its behalf, file an SIHNV Filing and Voting Instruction, vote at the Voting Hearing or file its SIHNV MPC Relevant Claim under the terms of this SIHNV Composition Plan on or before the Bar Date.

  • Please note that the indication of Claims and their respective amounts are indicated on this list solely for the purposes of determining whether (and for which amount) an SoP Creditor is admitted to cast a vote at the Voting Hearing, and not to on this list does not establish the validity of a Claim.

Related to Voting Hearing

  • Voting Shares means shares of any class of a corporation having under all circumstances the right to vote for the election of the directors of such corporation, provided that, for the purpose of the definition, shares which only carry the right to vote conditionally on the happening of an event shall not be considered Voting Shares whether or not such event shall have happened.

  • Voting Period means the period commencing on (and including) the date of this Agreement and ending on (and including) the Expiration Date.

  • Voting Record Time means the time and date specified in the Scheme Document by reference to which entitlement to vote on the Scheme will be determined, expected to be 6.00 p.m. on the day which is two days before the date of the Court Meeting or, if the Court Meeting is adjourned, 6.00 p.m. on the day which is two days before the date of such adjourned Court Meeting; and

  • Voting Stock of any Person as of any date means the Capital Stock of such Person that is at the time entitled to vote in the election of the Board of Directors of such Person.

  • Voting Agent means Logan & Company, Inc.

  • Voting Share means (i) a Common Share of the Company and (ii) any other share of capital stock of the Company entitled to vote generally in the election of directors or entitled to vote together with the Common Shares in respect of any merger, consolidation, sale of all or substantially all of the Company's assets, liquidation, dissolution or winding up. References in this Agreement to a percentage or portion of the outstanding Voting Shares shall be deemed a reference to the percentage or portion of the total votes entitled to be cast by the holders of the outstanding Voting Shares.

  • Disinterested Shareholder Approval means approval by a majority of the votes cast by all the Company’s shareholders at a duly constituted shareholders’ meeting, excluding votes attached to Common Shares beneficially owned by Insiders who are Service Providers or their Associates;
