Waiver Warrants definition

Waiver Warrants means the warrants to purchase Common Stock issued to MHR on the Effective Date.

  • The Company agrees that it will at all times reserve and keep available out of its authorized shares of Common Stock, free from preemptive rights, solely for the purpose of the issue upon conversion of the Notes, issue upon the exercise of the Waiver Warrants and issuances of shares of Common Stock in accordance with the terms hereof.

  • The Company agrees that the Conversion Shares and shares of Common Stock issued upon the exercise of the Waiver Warrants shall, when issued, be duly and validly issued and fully paid and non-assessable.

  • While any Waiver Warrants remain outstanding, the Company shall use a transfer agent that participates in the DTC Fast Automated Securities Transfer Program.

  • Any change, amendment or waiver pursuant to the immediately preceding sentence shall be binding on the Holder of this Warrant and all holders of the Waiver Warrants.

  • If the Company elects to cause a redemption pursuant to Section 5, then it must simultaneously take the same action in the same proportion with respect to all of the other Waiver Warrants.

  • The First Waiver is amended to delete any requirement that the Company issue the Waiver Warrants.

  • In consideration for the Holder’s 2020 Redemption Waiver, the Company shall deliver to the Holder, within two (2) Business Days of the date hereof, Waiver Warrants exercisable for a number of shares of Common Stock as set forth on Schedule I attached hereto.

  • Broker Warrants has the meaning ascribed to such term in Section 12 hereof;

  • Purchaser Warrants means Purchaser Private Warrants and Purchaser Public Warrants, collectively.

  • Other Warrants means any other warrants issued by the Company in connection with the transaction with respect to which this Warrant was issued, and any warrant issued upon transfer or partial exercise of or in lieu of this Warrant. The term “Warrant” as used herein shall be deemed to include Other Warrants unless the context clearly requires otherwise.

  • SPAC Warrants means SPAC Private Warrants and SPAC Public Warrants, collectively.

  • Series D Warrants means series D share purchase warrants of the Corporation issued to RTIH on May 22, 2012 in connection with the 2012 Rights Offering in accordance with the 2012 MoA, the terms of which are more particularly described under the heading “General Development of the Business – Agreements with the Rio Tinto Group – 2012 MoA”.

  • Common Warrants means, collectively, the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Common Warrants shall be exercisable immediately upon issuance and have a term of exercise equal to five (5) years from the initial exercise date, in substantially the form of Exhibit A attached hereto.

  • Sponsor Warrants shall have the meaning given in the Recitals hereto.

  • Series C Warrants means, collectively, the Series C Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Warrants shall be exercisable immediately and have a term of exercise equal to 9 months, in the form of Exhibit A attached hereto.

  • Existing Warrants means any warrants to purchase Common Stock outstanding on the date of this Agreement.

  • Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).

  • Sponsors’ Warrants means the warrants that are being sold privately by the Company simultaneously with the consummation of the IPO; and (vi) “Trust Fund” shall mean the trust fund into which a portion of the net proceeds of the Company’s IPO will be deposited.

  • Common Warrant Shares means the shares of Common Stock issuable upon exercise of the Common Warrants.

  • Series A Warrants means, collectively, the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Warrants shall be exercisable immediately from the Closing Date and have a term of exercise equal to five (5) years, in the form of Exhibit A attached hereto.

  • Class B Warrants means, collectively, the Common Stock purchase warrants in the form of Exhibit C attached hereto delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which warrants shall be exercisable immediately and have a term of exercise equal to one year.

  • Series B Preferred Shares means the Series B Preferred Shares of the Company, par value US$0.0001 per share.

  • Private Warrants means the Warrants the Investors are privately purchasing simultaneously with the consummation of the Company’s initial public offering.

  • Series C Preferred Shares means the Company’s series C preferred shares, par value US$0.00001 per share.

  • Existing Preferred Stock means, collectively, the outstanding shares of the Series E 6% Convertible Preferred Stock of the Corporation.
