WCAS Parties definition

WCAS Parties means WCAS Management Corporation and each of its Affiliates, including any investment funds managed or advised by any of the foregoing, or a group of persons that includes WCAS Management Corporation or any of its Affiliates.
WCAS Parties means the persons identified as WCAS Parties in Exhibit B.
WCAS Parties has the meaning set forth in Section 3.03(a).

  • Local Parties shall be defined as the Board or the local OSSTF/FEESO bargaining unit party to a collective agreement.

  • Carlyle means Carlyle Investment Management, LLC.

  • Parent Parties has the meaning set forth in ARTICLE V.

  • Ares means Ares Management LLC, on behalf of its Affiliated funds, investment vehicles and/or managed accounts.

  • Oaktree means Oaktree Capital Management, LLC and its Affiliates, including any partnerships, separate accounts or other entities managed by Oaktree.

  • Blackstone means collectively, The Blackstone Group L.P., a Delaware limited partnership, and any Affiliate thereof (excluding any natural persons and any portfolio companies of any Blackstone-sponsored fund).

  • GS shall have the meaning assigned to such term in the preamble to this Agreement.

  • Warburg means Warburg, Xxxxxx Capital Partners, L.P., and/or any of its affiliates.

  • Backstop Parties means, collectively, the Initial Backstop Parties and the Additional Backstop Parties.

  • Agent Parties has the meaning specified in Section 10.02(c).

  • Concert Parties means such Persons as are deemed to be Acting in Concert with AbbVie pursuant to Rule 3.3 of Part A of the Takeover Rules.

  • Apollo means Apollo Management V, L.P. and its Affiliates or any entity controlled thereby or any of the partners thereof.

  • Existing Stockholders means the stockholders of the Corporation immediately prior to the IPO as listed on Schedule A (including the Existing Stockholders Representative in its capacity as an Existing Stockholder) together with any Permitted Assignees.

  • Applicable Parties has the meaning assigned to it in Section 8.03(c).

  • Commitment Parties means the “Commitment Parties” as defined in the Commitment Letter.

  • Sponsor Parties means Sponsor, Vendor, and Utility, their respective successors and assigns, and each of their respective affiliates, agents, directors, officers, and employees.

  • Partnership Representative has the meaning set forth in Section 5.2(a).

  • CD&R Investors collectively, (i) CD&R Fund VIII, (ii) CD&R Friends & Family Fund VIII, L.P., a Cayman Islands exempted limited partnership, and any successor in interest thereto, and (iii) any Affiliate of any CD&R Investor identified in clauses (i) and (ii) of this definition.

  • Parent Representatives has the meaning set forth in Section 5.2(a).

  • Management Group means at any time, the Chairman of the board of directors, the Chief Executive Officer, the President, any Managing Director, Executive Vice President, Senior Vice President or Vice President, any Treasurer and any Secretary of Holdings or other executive officer of Holdings or any Subsidiary of Holdings at such time.

  • Sponsor Management Agreement means the management agreement between certain of the management companies associated with the Sponsor Group or their advisors and the Borrower.

  • TCV ’ means total consolidated volume calculated as the total national volume in those classes listed on MIAX Pearl for the month for which the fees apply, excluding consolidated volume executed during the period of time in which the Exchange experiences an Exchange System Disruption (solely in the option classes of the affected Matching Engine).
